Senior Counsel – Products and Platforms Location: Anywhere in Country
Our General Counsel’s Office (GCO) supports EY’s business by serving as trusted advisors to the EY community and providing the highest quality legal services. This role is part of the Technology and Managed Services legal group and focuses on advising, drafting, updating and negotiating legal terms for client‑facing software licenses and SaaS agreements, AI, big data, cloud computing, and more. You will collaborate with internal product, IP, procurement, and cross‑functional teams.
Key Responsibilities
Draft and negotiate client‑facing product and platform agreements, including advising on contractual strategy and risk, and keeping up to date with relevant legal developments
Collaborate closely with other members of the US GCO as well as local counsel in other EY member firms
Collaborate closely with intellectual property counsel and procurement counsel on the development and commercialization of various products and platforms
Support coordination with cross‑functional business and internal support teams (Data Privacy, Information Security, Independence, Quality and Tax) as necessary
Understanding existing EY policies and help enhance policies and guidance relevant to technology products and platforms
Support and advise internal product teams in the development of new products and platforms
Gaining a working understanding of the full range of tools, products and platforms required to be supported in order to provide effective product counsel
Managing workflow in a highly dynamic environment and remaining highly responsive, reliable, communicative, and accountable to team leadership and other members of the GCO
Being adept in cross‑functional settings and providing practicable legal advice to internal product teams and business stakeholders
Building relationships and teaming seamlessly with other members of GCO, within the Legal Practice Groups, as appropriate, to deliver exceptional legal service to internal stakeholders
Developing and delivering training on product and platform agreements, knowledge sharing, and best practice across the legal network and business, where requested or appropriate
Continually learning, contributing and innovating in a dynamic space
Qualifications
7+ years of relevant technology‑related transactional experience in a client‑facing capacity, including drafting and negotiation of product and platform agreements.
A strong background in supporting SaaS, software licenses, emerging technologies and a variety of go‑to‑market delivery models.
Experience developing contracting templates, playbooks and standards.
Adept at leveraging legal and other collaboration tools and technology to optimize teaming.
Experience in data privacy, data security, licensing, and intellectual property law.
Experience with cross‑border contracting (including local country agreements and cross‑border data transfer).
Ability to understand, assess, and negotiate terms for current and new technologies (including cloud and AI), and explain the related legal and business risks in a practical manner.
Excellent communication skills, both oral and written.
Excellent negotiation and interpersonal skills.
High degree of cultural and emotional intelligence, and demonstrated aptitude for resilience, flexibility, and ability to adapt to changing circumstances and dynamics.
Ability to work independently and team effectively with colleagues in other functions and geographic locations.
Ability to grasp, understand, and accurately articulate and document complex legal and contractual principles, and balance risk from both a legal and commercial perspective.
Highly responsive with ability to manage high workload volumes and competing priorities efficiently and effectively.
Solution oriented with focus on exceptional client service.
Experience in a product counsel role in a technology or consulting organization with experience leading negotiations.
A bachelor's degree from an accredited 4‑year college.
Juris Doctor from an accredited law school.
Membership in a State Bar as an attorney qualified to practice law.
Good standing with the applicable State Bar including being current on individual state Continuing Legal Education requirements.
