Summary Fund Formation paralegals provide paralegal support to attorneys and greater legal team and performs administrative duties as assigned. Specific duties and responsibilities include, but are not limited to, the following:

Responsibilities All facets of emerging company and venture fund work including:

Support the legal team during deals by completing checklists, organizing and saving investment-related documentation, and updating relevant trackers

Assist with fund management processes, including fund formation, dissolution, and other general corporate governance matters

Respond to and process requests from portfolio companies in a timely manner

Support the contract management lifecycle by assisting with the preparation, review, and negotiation of new and renewal contracts

Assist in preparing responses to AML/KYC inquiries from vendors, portfolio companies, and limited partners

Preparation and maintenance of organizational documents

Preparation of partnership and limited liability company agreements

Preparation of side letters, transfer agreements, admission agreements and other amendments

Conducting investor suitability due diligence

Research of Federal and State securities regulations in connection with fund formations

Preparation and filing of requisite notices

Conduct due diligence review of documents and with the preparation of opinions and backup in connection with fund formation

Handle SEC compliance reporting on behalf of venture fund clients with respect to their public company stock portfolios

Turn in timesheets, e-timelogs and fulfill other administrative duties in a timely fashion

Support legal billing processes by acting as a liaison for legal vendors, reviewing time entries, and processing invoices

Collaborate with other Firm teams to complete both legal and legal-adjacent projects

Exercise discretion and maintain confidentiality while handling sensitive legal and financial information

Ensure accuracy and maintain attention to detail while handling legal documents and data

Skills and Experience Required

Available to work overtime, as required

Bachelor’s Degree

Minimum of 3 years of paralegal experience, preferably in Fund Formation

Competencies

Ability to work independently and as part of a team in a fast-paced environment for multiple supervisors, meet deadlines and maintain flexibility with work assignments (including changes in attorney/paralegal assignments) and work schedules

Ability to organize and prioritize work assignments as well as delegate tasks to service departments when necessary

Possess excellent written, communication and proofreading skills with attention to detail

Ability to work well with others, including clients

Ability to work well under pressure

Must demonstrate initiative, diplomacy, and tact

Reliable, committed, and punctual

Compensation: The base salary range for this position is $70,000.00-$120,000.00, annually, plus bonus, depending on factors including the candidate’s skills and experience and market conditions.
