Job Summary Top law firm is seeking recent college graduates interested in careers in the legal profession for a two year position supporting the work of the Firm's Corporate Department.
The Paralegal is responsible for performing a broad variety of work during all phases of various transactions within their specific practice area. This role works under the supervision and direction of an experienced attorney or Senior Paralegal.
Essential Job Duties & Responsibilities
Assist attorneys with preparation of legal documents, due diligence review, subscription document review and tracking, and related tasks
Complete forms required for the formation/dissolution/amendment and qualification of corporations, LLCs and partnerships
Organize and maintain electronic files, and paper files where necessary
Organize and maintain due diligence and subscription documents
Perform due diligence searches including UCC searches and status of entity searches
Utilize and manage electronic databases
Proofread, organize and track documents; prepare closing sets of necessary documents following completion of a transaction; organize and distribute post-closing documents
Assist with document/information gathering, logistics and coordination of items received
Maintain well organized files
Update document management platforms and databases and categorize documents for efficient accessibility
Liaise with internal departments and outside vendors
Perform other tasks as assigned by deal/fund teams
Be flexible to adjust hours to meet departmental need
Education and Experience
Bachelor's degree required
Detail oriented, with excellent organizational and communication skills
Able to work in a fast paced environment, both independently or on a team
Flexibility, time management and an ability to prioritize tasks and deadlines
Critical thinking and solution oriented mindset
Present information clearly and concisely, both verbally and in writing
Self-starter who can organize, plan and complete multi-task work activities
Ability to proofread for contextual, grammatical and spelling errors
Flexibility to work late and on holidays/weekends, and travel when necessary
Preferred
Knowledge of MS Office applications and Excel preferred
Physical Demands Sedentary work: Exerting up to 10 pounds of force occasionally and/or a negligible amount of force frequently or constantly to lift, carry, push, pull or otherwise move objects. Sedentary work involves sitting most of the time. Jobs are sedentary if walking and standing are required only occasionally and all other sedentary criteria are met.
Sitting: Remaining in the seated position, particularly for sustained periods of time
Walking: Moving about on foot to accomplish tasks, particularly for long distances or moving from one work site to another

Bending/Stooping/Kneeling/Crouching: Bending body downward and forward by bending legs and spine, or by bending legs at knees
Reaching: Extending hand(s) and arm(s) in any direction
Work Environment The worker is not substantially exposed to adverse environmental conditions as in typical office or administrative work (normal light, air and space in the work environment).
