Job Overview

Valley Bank is looking for a highly motivated and detail-oriented Contracts Specialist to join our Legal team. The Contracts Specialist will draft, review and negotiate a wide variety of contracts—from nondisclosure agreements (NDAs) to vendor services and technology contracts—while ensuring compliance with legal/regulatory requirements and internal policies. 40 hours per week Responsibilities

Prepare, review and edit standard and non-standard contracts, including NDAs, professional services agreements, purchase agreements, software license/SaaS agreements, and other business contracts. Ensure clarity, accuracy, and legal soundness in contract language to protect the bank’s interests. Collaborate with internal stakeholders (legal, procurement, business counterparts, etc.) and external parties to negotiate favorable contract terms, including confidentiality, indemnity, liabilities, payment terms, and service level expectations; mitigate risk. Assist in managing the contract lifecycle from draft to execution and renewal, coordinating approvals, maintaining version control, and tracking obligations and milestones. Address inquiries related to contract interpretation; provide guidance to business teams on contract obligations. Act as a point of contact for clarifying contract scope, terminations, or ambiguities; advise on compliance with contractual obligations in cost-effective ways. Verify that contract terms comply with applicable laws, regulations, and company policies (e.g., data privacy, interagency guidance, internal risk policies). Analyze contract clauses to identify risks or conflicts; recommend amendments or protective provisions to prevent disputes. Resolve contract-related issues or escalate as needed to protect the bank’s interests. Contribute to improving contract processes; may help develop playbooks, templates, or checklists to streamline review of recurring contract types. Must have working proficiency with contract management software. Requirements

Required Skills:

Contract Law Knowledge : Strong understanding of contract law and legal terminology; familiarity with indemnities, warranties, limitations of liability, termination clauses, and relevant regulations (e.g., financial regulatory compliance, privacy laws). Negotiation & Communication : Excellent negotiation and communication abilities; ability to explain complex legal concepts in plain language to internal stakeholders and to negotiate terms with outside parties. Organization & Time Management : Ability to manage multiple contracts, prioritize workload, maintain meticulous records, and track deadlines. Detail Orientation & Analytical Skills : Detail-oriented with strong analytical thinking to identify discrepancies or unfavorable terms. Technical Skills : Proficiency with contract management software and MS Office (Word for redlining, Excel for tracking). Team-oriented and able to collaborate with attorneys, procurement professionals, and business owners; able to work cross-functionally in a fast-paced environment. Experience

Required Experience:

Bachelor’s Degree and 5 years of relevant experience in commercial contract drafting, management, analysis, and negotiation. Experience with emerging legal tech or AI tools is a plus. Preferred Experience:

Juris Doctor, licensed attorney; familiarity with banking/financial services; experience with technology contracts (software licensing, SaaS, cloud services), outsourcing, consulting agreements, and NDAs; initiative in improving contract processes (templates, tracking systems, training). Pay Range:
