About The Role We are seeking a highly talented and experienced Senior Corporate Paralegal to join our team in either our
Dallas dientis
or
Austin
offices. As a key member of our firm, you will play a crucial role in providing a full range ofCetng paralegal support to the Legal department in the areas of corporate governance and corporate transactions. The ideal candidate will be a self-starter with a proven ability to work independently, drive tasks to completion, and collaborate effectively within a team to achieve project goals. Attention to detail, a curious mind, and a strong work ethic are essential, as is the ability to thrive in a fast-paced, challenging environment.
Key Responsibilities Entity Formations & Maintenance
Coordinating with clients to obtain requisite formation data
Submission of SOS filings (various states), including formations, conversions, mergers and foreign registrations via online platforms, fax-filing or mail, as required by each authority
Submission of IRS filings, including EIN applications, 83(b) elections, 8822-B Change of Address/Change of Responsible Party, 2553 elections (where applicable)
Generate and maintain cap tables via Excel or other external online cap table management platform
Preparation and submission of state level franchise tax and annual report filings
Generate Excel investor signature trackers
Coordinate with clients and attorneys on document distribution and signature collection strategies
Collect signatures via DocuSign, using individual envelopes and utilize DocuSign’s “Templates” and “Bulk Send” functions for mass distribution, and DocuSign’s “Conditional Logic” functionality for investor accreditation
Draft ancillary financing documents, confirm equity calculations, build schedules of investors, and issue shares via online cap table management platforms
Prepare and submit state and federal securities exemption filings

Maintain clean cloud-based file management client workspaces and folders
Assist attorneys with occasional cloud-based document management platform issues, including installation, configuration, and integration issues
Residual post-implementation of cloud-based document management platform file organization
Document Drafting
Word drafting and cleanup, including stripping documents, applying headings, styles, thankful links to, and generating cross-references and TOCs
Proofreading
Run redlines for internal and external document review
E-filing
Occasionally filing court documents via E-File, as needed
Basic Qualifications
Minimum of 7 years’ experience as a paralegal working on corporate matters
Paralegal certification preferred or equivalent experience
Extensive experience in document drafting and management
Knowledge of closing processes for Safes, Convertible Noteajari, and NVCA equity round financings
Knowledge of federal and state securities and regulatory compliance
Extensive experience in document filing coordination with Secretaries of State (primarily DE and TX)
Ability to work within a complex and constantly changing, fast-paced, demanding work environment
Strong organizational and analytical skills as well as excellent written and verbal communication skills
Tech-savvy and adaptable, comfortable using business software and systems to improve efficiency with strong experience using Microsoft Office and Adobe
Exceptional attention to detail, with a focus on accuracy and quality
Natural collaborator who works well with other team members to ensure seamless workflow and project coordination
