Corporate Paralegal Our client, a leading international conglomerate, known for its innovative approach and global presence, is hiring a Corporate Paralegal to join their dynamic legal team. This vital role offers an exciting opportunity for a highly skilled professional to contribute to the governance, compliance, and administrative operations of a diverse international corporate structure.

Responsibilities

Manage and support the administration of global subsidiaries, including document management, preparation, and uploads.

Collect signatures for key corporate documents such as Board Resolutions, Annual Reports, Meeting Minutes, and Secretary’s Certificates, ensuring timely processing and compliance.

Oversee document upload procedures to platforms like CSC Navigator or similar entity management systems.

Handle notarization, apostille, translation processing, and signature collection activities efficiently.

Maintain accurate databases, electronic minute books, and trackers of corporate records and entity information.

Update and verify lists of directors and officers across subsidiaries and maintain other internal and external corporate records.

Support the legal department’s transactions and ongoing operations by preparing compliance documents in accordance with federal, state, and local regulations.

Track and calendar deadlines for filings, renewals, and regulatory requirements.

Assist in M&A transactions, including preparation of related documentation.

Generate ad hoc reports and respond promptly to inquiries regarding corporate information.

Requirements

Minimum of 4 years of corporate paralegal experience, preferably within an in‑house corporate environment.

Proven expertise in domestic and international compliance, corporate governance, entity formation, dissolution, and mergers.

Strong organizational, administrative, and communication skills with a keen eye for detail.

Ability to prioritize tasks, meet deadlines, and manage multiple projects simultaneously.

Proficiency with Microsoft Office Suite (Word, Excel, PowerPoint), Google Workspace (Gmail, Drive, Sheets), Adobe tools, CSC Navigator or comparable entity management platforms, DocuSign, and Adobe Sign.

Notary Public certification is required.

Demonstrated commitment to ethics, confidentiality, and professional responsibility.
