A multi-generational, family owned food distributor seeks an In-House Counsel to join their team as their current GC is about to retire. This role is onsite 5 days/week in Jacksonville, FL.
Position requires: (a) an active license to practice law; (b) 5+ years of in-house experience; (c) transactional experience including contracts, corporate governance and employment law. Salary of $150-250K DOE. Excellent benefits package including health, dental and vision insurance, 401K, etc.

Responsibilities
Contract Drafting and Negotiation
Drafting, reviewing, and negotiating
a variety of commercial agreements, including but not limited to:
Supplier and vendor agreements Customer agreements Distribution and logistics agreements Technology and licensing agreements Non-disclosure agreements (NDAs)
Advising internal stakeholders on
contractual interpretation, risk assessment, and dispute resolution . Corporate Governance and Compliance
Managing corporate governance matters, including
maintaining corporate records, minute books, and organizational documents . Ensuring the company's compliance with
relevant state and federal laws and regulations . Assisting in the development and implementation of
internal policies and compliance training programs . Employment Law and Human Resources Support
Providing legal advice and support to the
Human Resources department
on a broad range of employment law matters. Assisting in the
drafting, review, and implementation of employment policies, employee handbooks, and separation agreements . Advising on legal risks related to
hiring, termination, disciplinary actions, wage and hour issues, discrimination claims, and workplace investigations . Staying current on changes in federal, state, and local
labor and employment laws
(e.g., FLSA, ADA, FMLA, OSHA) and ensuring company compliance. Skills
