The team works closely with senior leadership, credit management, credit risk, relationship managers, and workout officers to provide legal support in a number of areas, including without limitation policy and procedure reviews, issue remediation, contract negotiation, transactional risk analysis, litigation management, and the sourcing of legal advice from other teams internal to TD Legal and external law firms as needed.The Director and Managing Counsel provides strategic and tactical direction and advice to AMCB executives as well as within the legal department. Provides oversight, legal advice and support to AMCB's senior management in Functions and in Business units. This role is the principal bank-wide legal expert in a broadly defined practice area and/or a specific international location. As a Practice Leader, this role brings Best Practices in own area to the organization. The Director and Managing Counsel mediates and prevents recurring conflict situations. Applies broad knowledge of TDBFG to develop and implement policies and Procedures within own area.**Depth & Scope:*** Provides people management leadership by hiring the best talent, setting goals, developing staff, managing employee performance and compensation decisions, promoting teamwork and handling any/all disciplinary actions, as required* Provides strategic and tactical direction and advice to AMCB executives as well as within the legal department* Identifies and analyzes legal issues, draft key documents, makes recommendations, and assists to enhance legal compliance* Provides ongoing advice to Managers and business lines regarding general legal and contract specific issues and risks* Participates in structuring, negotiating and drafting of general business transactions (ranging from standard contracts to complex, high-dollar value transactions)* Trusted legal advisor to business senior leadership team* Escalates significant legal and regulatory compliance risk issues as appropriate* Focuses on appropriate talent utilization and supports career development of team members* Coordinates with the Legal Leadership team and other COLA groups to provide seamless advice to leadership and the portfolio businesses**Education & Experience:*** Commercial lending transactional experience in a law firm or in-house environment* Deep experience negotiating commercial financing contracts* Experience managing or assisting with commercial loan workouts* Experience with subsidiary and/or entity-level corporate governance* Working knowledge of laws, rules, and regulations applicable to commercial and small business lending* Experience working in a regulatory environment* Prior experience managing a team of lawyers and legal professionals* Bachelor's degree and Juris Doctor degree from an accredited law school* 10 Years' experience as an attorney* Admitted in good standing to a state bar* Licensed to practice law* Legal expertise, experience & sound legal judgment* Strategic thinker* Skilled leader, high confidence, low ego, inspiring to professionals, operates through influence, motivates and develops leadership teams* Delivers on objectives, focuses on what matters and can work across silos to build effective working relationships* Clear, concise communicator, capable of influencing positive outcomes* Strong innovation-acumen**Who We Are:**
