Senior Counsel – Products and Platforms The role focuses on advising, drafting, updating and negotiating technology‑related agreements for EY clients. You will provide legal guidance on client‑facing software licenses and SaaS agreements, as well as emerging areas such as artificial intelligence, big data, analytics and cloud computing. You will also support EY’s technology and product teams from ideation through go‑to‑market.

Your Key Responsibilities

Draft and negotiate client‑facing product and platform agreements, advising on contractual strategy and risk.

Collaborate with U.S. GCO members, local counsel in other EY member firms, and intellectual property and procurement counsel.

Coordinate with cross‑functional teams (Data Privacy, Information Security, Independence, Quality, Tax) as needed.

Help enhance EY policies and guidance related to technology products and platforms.

Advise internal product teams on new product and platform development.

Gain a working understanding of the tools, products and platforms to provide effective counsel.

Manage workflow in a dynamic environment, maintaining responsiveness, reliability and accountability.

Provide practicable legal advice in cross‑functional settings.

Build relationships with GCO members across Legal Practice Groups.

Develop and deliver training on product and platform agreements and best practices.

Continue learning, contributing and innovating in a dynamic space.

Qualifications

7+ years of technology‑related transactional experience in a client‑facing capacity, including drafting and negotiating product and platform agreements.

Strong background in SaaS, software licenses, emerging technologies and go‑to‑market delivery models.

Experience developing contracting templates, playbooks and standards.

Adept at leveraging legal and collaboration tools to optimize teamwork.

Experience in data privacy, data security, licensing and intellectual property law.

Experience with cross‑border contracting and data transfer agreements.

Ability to assess and negotiate terms for current and new technologies (cloud, AI) and explain related legal and business risks.

Excellent oral and written communication skills.

Excellent negotiation and interpersonal skills.

High cultural and emotional intelligence with resilience, flexibility and adaptability.

Independent and collaborative teamwork across functions and locations.

Strong analytical ability to articulate complex legal and contractual principles.

Highly responsive with the capacity to manage high workload and competing priorities.

Experience as a product counsel in a technology or consulting organization.

Bachelor’s degree from an accredited 4‑year college.

Juris Doctor from an accredited law school.

State Bar membership and good standing, current on continuing legal education.

Competitive compensation based on performance, with a U.S. base salary range of $177,800 to $332,400 and higher ranges for major metros.
