Our General Counsel’s Office (GCO) supports EY’s business by serving as trusted advisors to the EY community and providing the highest quality legal services to EY’s service lines and business enablement functions.
The Opportunity
As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will provide advice, counsel, and legal support for technology products and platforms to EY clients. Focus areas include advising, drafting, updating and negotiating the terms of client-facing software licenses and software-as-a-service (SaaS) agreements, and guidance on artificial intelligence, big data, analytics, cloud computing. You will also provide internal legal advice and support to various EY technology and product teams from ideation, innovation, and go-to-market. You will be part of EY’s Technology and Managed Services legal group, working closely with other GCO groups in the United States and other jurisdictions. The work is complex, often urgent, and high in volume, requiring experience in a supplier-side technology transactional legal role. The role requires a background in SaaS, current market knowledge of technologies, and the ability to manage multiple priorities in a compressed timeframe, escalating and interacting with senior leaders as needed.
Your Key Responsibilities
Draft and negotiate client-facing product and platform agreements, advise on contractual strategy and risk, and stay current with relevant legal developments Collaborate with US GCO colleagues and local counsel in other EY member firms Collaborate with intellectual property and procurement counsel on development and commercialization of products and platforms Support coordination with cross-functional business and internal teams (Data Privacy, Information Security, Independence, Quality and Tax) as necessary Understand EY policies and help enhance policies and guidance relevant to technology products and platforms Support and advise internal product teams in the development of new products and platforms Develop working understanding of tools, products and platforms to provide effective product counsel Manage workflow in a dynamic environment and be responsive, reliable, and communicative to team leadership and GCO members Provide practical legal advice in cross-functional settings to internal product teams and business stakeholders Build relationships with GCO and other Legal Practice Groups to deliver exceptional legal service Develop and deliver training on product and platform agreements, knowledge sharing, and best practices Continually learn, contribute, and innovate in a dynamic space
Qualifications
7+ years of relevant technology-related transactional experience in a client-facing role, including drafting and negotiating product and platform agreements Strong background in supporting SaaS, software licenses, emerging technologies and various go-to-market delivery models Experience developing contracting templates, playbooks and standards Adept at leveraging legal and collaboration tools to optimize teaming Experience in data privacy, data security, licensing, and intellectual property law Experience with cross-border contracting (including local country agreements and cross-border data transfer) Ability to understand, assess, and negotiate terms for current and new technologies (including cloud and AI) and explain related legal and business risks plainly Excellent communication skills, both oral and written Excellent negotiation and interpersonal skills High emotional intelligence, resilience, flexibility, and adaptability Ability to work independently and with teams across functions and geographies Ability to articulate and document complex legal and contractual principles and balance legal and commercial risk Highly responsive with the ability to manage high workload and shifting priorities Solution-oriented with a focus on exceptional client service Experience in a product counsel role in a technology or consulting organization with leading negotiations Bachelor’s degree from an accredited 4-year college Juris Doctor from an accredited law school Membership in a State Bar and in good standing; current on state CLE requirements
