is seeking a highly qualified

Corporate M&A Mid-Level Associate

to join its premier corporate practice. This role offers the opportunity to work on complex, high-value domestic and cross-border transactions for public and private companies, private equity sponsors, and financial institutions. The ideal candidate will have experience handling sophisticated deal work, strong drafting and negotiation skills, and the ability to take ownership of significant transaction components in a demanding, team-oriented BigLaw environment. Key Responsibilities

Advise public and private companies, private equity sponsors, and strategic buyers in mergers, acquisitions, divestitures, joint ventures, and complex corporate transactions

Draft and negotiate principal transaction documents, including stock and asset purchase agreements, merger agreements, disclosure schedules, and ancillary documents

Manage and coordinate legal due diligence across multiple workstreams and practice areas

Support transaction structuring, negotiation strategy, and execution through closing

Interface directly with clients, opposing counsel, and internal deal teams

Supervise and mentor junior associates and contribute to deal team leadership

Assist with securities law and corporate governance matters related to M&A transactions

Qualifications

JD from a top-tier law school

Admitted to practice and in good standing (or eligible to waive in)

3–5 years of substantive M&A experience at a large law firm or top-tier corporate practice

Significant experience drafting and negotiating complex transaction documents

Experience with private equity-backed transactions and/or public company M&A strongly preferred

Excellent academic credentials

Strong analytical, writing, and communication skills

Ability to manage multiple complex transactions in a fast-paced environment
