acquisitions, entity formation, and other transactional functions./ppEssential Duties
Responsibilities:/ppCorporate, MA, Transactional Functions:/pulliDrafts and files certificates/articles of incorporation and certificate/articles of formation/liliDrafts written board consents in lieu of a meeting and written stockholder consents in lieu of a meeting, including both organizational and transactional closing matters/liliDrafts resolutions to be presented at a board meeting and/or stockholder meeting/liliPrepares basic organizational documents, including initial stock certificates and stock ledger/liliCompletes and files Forms SS-4 to obtain EINs/liliCompiles and maintains minute books and stock ledgers/liliConducts research to assist attorneys in determining jurisdictions for qualification/liliPrepares and files qualification and withdrawal applications/liliOrders lien, bankruptcy and litigation searches and summarizes search results/liliPrepares and files statutory filings with Secretary of State, including amendments, conversions, mergers, and dissolutions/liliFormulates solutions to problems which may arise, such as good standing issues/liliInterfaces with corporate service providers regarding statutory registered agent services (including changing contact information)/li/ulpClosing and Post-Closing
General Functions:/pulliDrafts certificates including secretary and officer certificates/liliPrepares closing files/liliHandles distribution of signature pages/liliOrders certified copies of charter documents and good standing certificates/liliIdentifies and resolves problems that arise/liliPrepares and files UCC financing statements, amendments, and termination statements/liliAssists with closing, including compiling signature pages, filling in dates, tracking down final agreements and providing general support/liliPrepares closing index and assembles closing binder, and assists in distribution/liliRegular and in-person attendance is required to perform the essential functions of this interactive position./liliPerforms additional duties and responsibilities as assigned./li/ulpQualifications
Experience:/pulliBachelors degree or equivalent combination of experience and education required./liliMinimum of 3 years of experience as a paralegal in corporate business transactions and/or finance is required./liliCandidates must have strong verbal and written communication skills, the ability to work independently on multiple outstanding matters, and be able to maintain a strong substantive understanding of the legal aspects of their work and related documentation./li/ulpPhysical Requirements:/pulliThe work is primarily sedentary./liliIt requires the ability to communicate effectively using speech, vision, and hearing./liliThe work requires the use of hands for simple grasping and fine manipulations./liliThe work at times requires bending, squatting, and reaching, with the ability to lift, carry, push, or pull light weights./li/ulpMay need to occasionally work more than the standard 37.5 hours per week to accomplish essential duties of the position.
