Responsibilities Preparation & Review
Assist in drafting, reviewing, and negotiating terms and conditions of commercial contracts such as, but not limited to, Non-Disclosure Agreements, Sales/Purchasing Agreements, Sub-contracts, Consulting Agreements, and Master Agreements.
Responsible to provide redlined recommendations on all standard and nonstandard contracts
Monitor compliance by company employees with established procedures and policies
Identify areas of recurrent commercial risk.
Negotiation
As part of the core commercial deal team, act as a main point of contact with customers on contractual matters ensuring timely review and approval / reconciliation of variations.
Serve as liaison between German & Swiss headquarters and local North American customers on contractual matters.
Work closely with sales and execution teams to identify and mitigate commercial & legal risk on all contracts
Support Sales/ Service / Procurement to ensure company products and services are offered and procured with appropriate, competitive terms and conditions
Monitor competitive terms and customer satisfaction with our terms and conditions
Assist to identify potential legal risks and liabilities in the context of terms and conditions, advising internal stakeholders of key issues or discrepancies while ensuring compliance with internal policies
As needed, provide guidance on contractual matters to project managers or other sales/service staff, including periodic training to all corporate personnel on contracting practices and procedures
Develop and implement procedures for contract management and administration in compliance with company policy. As appropriate, contribute to or influence company policies
Execution
Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness and interpretation to support execution
Handle on-going issue and change management
Ensure contract close-out, extension or renewal
Documentation and Filing
Maintain and record legal documents, correspondence, and revisions in accordance with company policies
Communication
Coordinate with internal departments (sales, engineering, HSE, etc.) to ensure proper alignment and understanding of terms and conditions within business objectives and internal requirements
Required Education Bachelor’s Degree or equivalent with preferred background in contractual law.
Experience/Qualifications/Skills
12+ years with contractual management & negotiation experience. Experience in contract law related to complex industrial equipment, engineering procurement & construction, or energy capital projects is a plus.
Familiarity with legal terminology and drafting sales contracts, specifically in technical or industrial fields, is an advantage.
Strong understanding of contract structures, especially as they apply to product sales and services.
Proven ability to negotiate directly with customers, defend key company positions, and resolve contractual disputes
Excellent attention to detail with a high level of accuracy in drafting and reviewing documents.
Strong communication and stakeholder management skills, both written and verbal,.
Ability to work independently and as part of a team in a fast-paced environment.
Strong organizational and time management skills, with the ability to handle multiple tasks and deadlines.
Proficient in Microsoft Office Suite (Word, Excel, PowerPoint) and general technical experience with a contract management system.
Familiarity with electrolyzers, power generation, or the industrial equipment industry is a plus but not required
