The BMC Helix Legal team is a strategic, business‑driven partner at the heart of a fast‑growing SaaS organization. We navigate complex federal, public sector, and commercial landscapes with clarity and confidence, enabling the company to move quickly while staying compliant and protected.

BMC Helix Inc. is seeking an experienced Legal Counsel to provide strategic legal guidance on US federal government and public sector contracts and complex commercial contracts to the sales organization and business units across the US. You will work closely with the contract managers, sales leadership, cross‑functional teams, and external counsel to manage complex legal matters, ensuring compliance and mitigating risk in a highly regulated and evolving market. You will report to the Senior Legal Counsel for North America, based in Canada.

Responsibilities

  • Provide strategic legal counsel to leadership on a broad spectrum of legal matters, including negotiating and concluding commercial transactions with governmental customers, structuring commercial agreements with private customers, and supporting business development initiatives.
  • Formulate and implement legal strategies that align with BMC Helix’s objectives and mitigate potential risks.
  • Identify and assess legal risks associated with business operations and develop strategies to mitigate these risks.
  • Guide and mentor the contract managers, fostering a collaborative environment.
  • Lead negotiations for complex contracts including SaaS agreements, licensing, support, consulting services, government contracts, and strategic partnerships.
  • Develop and deliver training programs to enhance legal knowledge and compliance awareness across the organization.
  • Stay abreast of legal developments, industry trends, and best practices to ensure the legal team remains at the forefront of legal and technological advancements.
  • Continuously evaluate and improve legal processes, workflows, and systems to enhance efficiency and effectiveness.

Qualifications

  • Admission to practice law in at least one US jurisdiction with a minimum of 5 years of relevant legal experience, ideally in‑house within a technology company or law firm.
  • Proven expertise in technology contracts, government contracts (US Federal, state and local), and compliance matters.
  • Strong understanding of GSA Schedules, FARs, DFARs, the US federal acquisition process, and state/local procurement process.
  • Experience and/or familiarity with U.S. export law compliance.
  • Excellent communication and interpersonal skills with the ability to influence sales leaders and cross‑functional teams.
  • Ability to work effectively in a dynamic, international, and fast‑paced environment.

The annual base salary range represents the low and high end of the BMC salary range for this position. Actual salaries depend on a wide range of factors that are considered in making compensation decisions, including but not limited to skill sets; experience and training, licensure, and certifications; and other business and organizational needs.

The range listed is just one component of BMC’s employee compensation package. Other rewards may include a variable plan and country‑specific benefits.

At BMC, it is not typical for an individual to be hired at or near the top of the range. A reasonable estimate of the current range is $129,375 - $215,625.
