Kutak Rock, LLP seeks an experienced associate to join its Spokane office Real Estate, Corporate and Municipal practice. The ideal candidate will have interest in developing their knowledge and skills in complex business, real estate and asset‑based finance transactions; specialty finance transactions; real estate development and leasing; comprehensive municipal issues; and energy. This role offers the unique opportunity to work closely with experienced partners and to represent sophisticated clients across these practice areas on nationally and regionally significant matters. Responsibilities
Review, draft and manage transaction due diligence
Review, draft and negotiate transaction documents in both corporate and real estate matters
Prepare loan documents, including loan agreements and security instruments
Review and analyze surveys and title commitments for acquisitions and lending transactions
Coordinate and conduct transaction closings
Review and prepare organizational and authorizing documents
Ensure that appropriate approvals are in place before transactions are executed
Interpret laws, rulings and regulations in relevant areas of the law
Provide guidance to decision‑makers in both corporate and municipal contexts
Qualifications: Skills and Abilities
Knowledge of and/or ability to analyze state and federal laws governing transactions
Proficiency in asset‑based finance and real estate finance transactions
Excellent oral and written communication skills
Ability to apply critical thinking and possess a high attention to detail
Exceptional research and analytical skills
Self‑motivated with a strong work ethic
Ability and confidence to work independently while thriving in a collaborative, team environment
Commitment to achieving the goals of Firm clients
Qualifications: Education and Experience
Currently admitted to practice in Washington with an active bar license in good standing or able to be admitted within one year required
1+ years of experience in real estate or corporate finance transactional matters in a law firm or corporate legal department
Candidates with excellent academic record given preference
Position Information Status:
Exempt
Salary Range:
$125,000‑$160,000 base, per year, commensurate with education and experience
Work Arrangement:
Hybrid available with supervising attorney approval, after introductory period
