Description

Cyberhill Partners is seeking a versatileContracts Officer to lead our contracting strategy as we expand our AI services footprint across major US markets. This role is unique: you will manage high-velocity commercial AI service agreements while simultaneously building the framework for our federal government contracting division. You will be responsible for ensuring that our innovative AI solutions are delivered under terms that protect our IP, mitigate risk, and comply with complex regulatory environments like the FAR and DFARS.

Key Responsibilities

1. Government Contracting & Compliance

  • OTA & Milestone Management: Lead the negotiation and administration of Other Transaction Agreements (OTAs). Ensure milestones and CLINs are structured to protect the firm’s cash flow and IP.
  • Regulatory Guardrail: Serve as the subject matter expert on FAR, DFARS, and agency-specific supplements.
  • Unauthorized Commitments (UAC): Proactively manage communication with government technical points of contact to prevent UACs and ensure all work is performed under valid contractual authority.
  • IP Protection: Safeguard the firm's pre-existing architecture and "outside work" intellectual property within government contracts to ensure we maintain commercial rights.
  • Contract Lifecycle Management: Draft, review, and negotiate Master Service Agreements (MSAs) and Statements of Work (SOWs) for commercial clients, specifically focusing on AI-specific clauses (data privacy, model ownership, and liability).
  • Sales Enablement: Partner with our City Managers and Big 4-led sales teams to accelerate deal cycles while maintaining rigorous risk standards.
  • Partnership Pipeline: Support the development of partner ecosystem agreements, ensuring seamless flow-through of terms for sub-contractors and vendors.
  • Multi-Entity Support: Advise on the contractual implications of our corporate structure, including Series LLC considerations and Section 1202 compliance during capital raises.
  • Dry Powder Protection: Coordinate with finance to ensure contract structures support the efficient use of raised capital and "dry powder" reserves.

Qualifications

  • Experience: 7–10+ years in contract management, with at least 3 years specifically in government contracting (Defense or Intelligence experience preferred).
  • AI/Tech Literacy: Deep understanding of software-as-a-service (SaaS) and AI services delivery models, including the nuances of data rights and "Agentic AI" liability.
  • Negotiation Skills: Proven track record of negotiating with both Fortune 500 procurement offices and Government Contracting Officers (KOs).
  • Education: JD or MBA preferred, or NCMA certification (CPCM/CFCM).
