I am working with a leading international law firm seeking a Capital Markets Associate to join its highly ranked Corporate practice in Washington, D.C. This team represents issuers, underwriters, and private equity sponsors on complex U.S. and cross‑border transactions, including IPOs, high‑yield and investment‑grade debt offerings, SPACs, and direct listings.
Key Responsibilities
Advise clients on capital markets transactions, SEC reporting, and compliance matters.
Draft and review registration statements, prospectuses, and offering memoranda.
Represent issuers and underwriters in public and private offerings.
Collaborate with cross‑office teams on deal execution and disclosure strategy.
Ideal Candidate
3rd–6th year associate with 2+ years of capital markets or public company experience.
Familiarity with ’33 and ’34 Act requirements and SEC filings.
Excellent drafting, analytical, and communication skills.
Experience with IPOs, follow‑on offerings, or debt transactions preferred.
