What You'll be Doing
The Senior Legal Counsel will provide legal advice and guidance on a wide variety of commercial, contractual, regulatory, litigation and day-to-day legal matters, with a particular focus on the healthcare industry, including healthcare providers, payers, pharmacies, the pharmaceutical industry and HIT suppliers. Note: Ideal candidate located in the Greater Chicago area. Key Tasks
Structure, draft and negotiate customer agreements including SaaS, enterprise licensing, subscription and/or implementation or services agreements; cover offerings from a single or multiple business units within Wolters Kluwer Health (WKH); include business development, co-development/co-marketing, innovation lab and other strategic alliances; reseller and distribution arrangements; content licensing for use in RAG models, LLM training, and other AI technologies; and business associate/data processing agreements. Advise on contractual and regulatory exposures and risks related to new offerings, existing sales activities, and promotional/marketing activities. Counsel on HIT and intellectual property concepts, SaaS subscriptions, software licensing, e-commerce, HIPAA/HITECH and GDPR compliance, and healthcare laws applicable to providers, payers, pharmacies, the pharmaceutical industry and HIT suppliers, including medical device regulations where relevant. Effectively manage outside counsel and collaborate with GLCD attorneys globally (IP, litigation, regulatory, HR/employment, M&A). Develop knowledge of WKH, its markets, products, customers, competitors, and regulatory environment to identify trends and provide timely legal advice. Develop strong rapport with senior executives and functional teams to drive high-quality legal services.
You're a Great Fit if You Have/Can
Bachelor’s degree + JD; must be admitted to practice law in the state of residence. Minimum of 7 years of progressively responsible corporate/commercial legal experience, preferably including top-tier firm and in-house experience, with healthcare transactional and regulatory matters. Strong background in innovative HIT and digital health concepts, software licensing and SaaS, and interest in RAG, LLMs, and AI technologies. Strong understanding of U.S. and EU healthcare laws and regulations impacting operations and product development. Located within 50 miles of the Riverwoods or Chicago, IL offices, with remote work and occasional office visits.
