The Role:
The Senior Corporate Paralegal will be a key member of the Legal team, focusing on corporate and securities matters, including SEC and international securities filings. This role supports public company reporting and compliance (e.g., Forms 10-K, 10-Q, 8-K, Section 16 filings, and other SEC and exchange-related submissions), as well as special projects such as legal research, litigation support, legal operations initiatives, and commercial contract support. Based in Tysons Corner, VA, the Senior Corporate Paralegal reports primarily to the VP & Associate General Counsel managing the Corporate Governance & Securities team, with a dotted-line relationship to other legal leaders. This position offers broad exposure across corporate, securities, governance, and commercial matters and involves close collaboration with Finance, Investor Relations, and other internal stakeholders. Key Responsibilities
Assist with the preparation, review, and coordination of SEC filings, including: Forms 10-K, 10-Q, and 8-K Section 16 filings (Forms 3, 4, and 5) Proxy statements and other periodic or current reports and disclosures Support international securities and exchange filings and related disclosure obligations, coordinating with external counsel and internal stakeholders as needed Help maintain corporate records and entity governance documents, including board and committee materials, minutes, consents, and organizational documents Assist with stock administration - related legal tasks (e.g., equity plan documentation, grant approvals, and related disclosures) in collaboration with HR/Finance as needed Conduct legal and factual research on corporate, securities, governance, and related topics; prepare concise summaries and memoranda Provide litigation support, including document collection, organization, and coordination with external counsel and internal stakeholders Support legal operations initiatives and other special projects (e.g., process improvements, matter management, templates, knowledge management, and vendor coordination) Assist with drafting and negotiation of low to moderate complexity commercial contracts (e.g., customer software orders and amendments) and NDAs under attorney supervision Help manage calendars, timelines, and project plans for key corporate and securities deliverables, ensuring deadlines are met and stakeholders are aligned Qualifications
Bachelor’s degree and/or paralegal certificate from an ABA-approved program, or equivalent experience 5+ years of experience as a corporate paralegal, preferably with a public company and/or at a law firm supporting public company clients Direct experience supporting SEC filings (e.g., 10-K, 10-Q, 8-K, Forms 3 and 4, and related disclosure documents) Strong understanding of corporate governance concepts and public company practices Experience organizing and maintaining corporate records, board materials, and entity documentation Comfort handling legal research, document management, and coordination with external counsel Excellent attention to detail, organization, and project management skills Strong written and verbal communication skills, including the ability to summarize complex information clearly and concisely High level of professionalism, discretion, and integrity when handling confidential information Ability to thrive in a fast-paced, dynamic environment, collaborate internally and externally, and deliver value across multiple projects simultaneously Familiarity with EDGAR filing processes and tools; experience with international securities/exchange filings is a plus Experience with commercial contracts (review, revision, basic negotiations) is a plus; willingness to learn and grow in this area is required Experience with legal operations tools (e.g., contract lifecycle management, e-billing, matter management) and/or stock administration platforms and/or equity compensation documentation is a plus Additional Information
