Join our team as a Corporate Paralegal located in our Salt Lake City office.

This role will be based in our Salt Lake City office and regular in-office presence is required for day-to-day operations.

Responsibilities

Coordinates and manages multiple transactional closings including private company financing, mergers and acquisitions, joint ventures, real estate acquisitions, dispositions, financings, and strategic investments

Assists with drafting board and shareholder resolutions; assists with due diligence procedures, online and factual searches; organization of due diligence materials; research filing requirements in various states; calendars expiration dates

Prepares all documents required to form corporations, partnerships, and limited liability companies

Assists with entity formation; assists with drafting of corporate organizational documents; assists with operations of corporations and corporate records maintenance; prepares foreign qualifications, dissolutions, and withdrawals

Assists with the preparation and filing of UCCs, including continuation and termination statements; analyzes UCC search results; prepares UCC and lien summary charts; research filing requirements in various states; calendars expiration dates

Prepares and files documents and forms for ongoing corporate operations, including directors and shareholders’ resolutions, and amendments to articles of incorporation

Drafts secretary’s certificates, bylaws, operating agreements, and resolutions

Prepares Beneficial Owners reports (BOIs) under the Corporate Transparency Act

Prepares stock option agreements and stock certificates; maintains stock ledgers and capitalization tables

Maintains entity minute books and entity ledgers for various clients

Prepares applications for federal employer identification numbers

Redlines and proofreads documents; assists with conforming party names and terms in agreements and other documents

Conducts research and performs library and online searches; retrieves reference materials from outside libraries that may not be readily available

Prepares SEC filings, both corporate and Section 16, responds to the requirements of the Securities Acts of 1933 & 1934 filings; prepares Rule 144 opinion letters; assists with preparation and organizations of documents related to public company transactions; drafts Form S-8s

Strong experience with the preparation and filing of Form Ds. Is proficient in and has credentials for the Edgar Next platform

Maintains timely and accurate timekeeping records

Serves as a mentor to and provides leadership and training for mid- and entry level paralegals and paralegal clerks

Assists with other department activities as needed, and performs additional duties and responsibilities as assigned

Qualifications

Communicate professionally and interact effectively with all levels of personnel, including management staff and support staff

Demonstrated ability to proactively take initiative and operate as a self-starter, consistently maintaining attention-to-detail while understanding how individual tasks contribute to broader organizational objectives

Demonstrated attention to detail, reliability, and ability to learn new technology quickly

Excellent client service skills and ability to work on multiple matters simultaneously in an organized manner and under minimal supervision

Flexibility and able to respond quickly and positively to shifting demands

Position also requires the ability to work under pressure to meet strict deadlines

Bachelor’s degree and paralegal certification preferred; equivalent experience will be considered

Minimum of 10 years of corporate experience within a law firm, with demonstrated expertise in complex issues related to the Corporate & Securities practice area

Experience with public securities is highly desirable, but not required

Proven experience interacting with government agencies and service companies, including the Secretary of State, Department of Corporations, and the SEC (Edgar Next) for filing and retrieving documents.

Strong understanding of corporate operations and working knowledge, appropriate for a paralegal, of federal and state securities laws, including the ability to conduct related research

Technology

Proficient with practice-specific technology platforms, including Edgar Next and various service company websites

Experienced in navigating and utilizing Secretary of State databases

Exceptional computer skills, with a proven ability to quickly learn new software applications

Highly proficient in Windows-based software and Microsoft Office Suite applications, including Word, PowerPoint, Excel, and Outlook
