The Role We are seeking a highly organized, detail-oriented
Commercial Real Estate Paralegal
to support our transactional practice. This is a 100% remote position, but candidates
must be based in Florida
to ensure a deep understanding of state-specific real estate statutes, closing customs, and title requirements. You will serve as the "engine" of the transaction, managing the lifecycle of a deal from LOI to post-closing.
Core Responsibilities
Transaction Management:
Coordinate complex commercial closings, including acquisitions, dispositions, and multi-million dollar refinances.
Title & Survey:
Review and analyze title commitments, exception documents, and surveys; prepare title objection letters and coordinate with title underwriters to clear encumbrances.
Document Preparation:
Draft and manage first-round versions of closing sets, including deeds, bills of sale, incumbency certificates, and assignment of leases/contracts.
Due Diligence:
Manage virtual data rooms and oversee the due diligence process for multifaceted real estate portfolios.
Closing Coordination:
Prepare detailed closing statements (settlement statements), coordinate the flow of funds, and manage the execution and recordation of all legal instruments.
Corporate Governance:
Assist with the formation of LLCs and other entities, including drafting operating agreements and obtaining EINs.
Requirements
Experience:
Minimum of 2+ years of experience as a Paralegal specializing in
Commercial Real Estate
(residential-only experience will not be considered).
Location:
Must be a current resident of
Florida .
Technical Skills:
Proficiency in title software (e.g., Qualia, DoubleTime), document management systems, and advanced Microsoft Excel for closing math.
Education:
Paralegal Certificate or Bachelor’s degree preferred.
