
Job Description
We are looking for an experienced Corporate Paralegal to serve as a key member of our Legal team, reporting to the Vice President, Associate General Counsel - Corporate and Assistant Corporate Secretary. This director-level position will play a crucial role supporting our corporate, securities and business affairs team in delivering timely, organized legal support to our global operations and contribute directly to Vuori's corporate governance and compliance programs.
What you'll get to do:
Manage and lead U.S. and international entity formation and maintenance and registered agent maintenance. Organize the various administrative filings and entity records along with the full range of support for maintenance activities across all entities (board meeting and shareholder meetings), including the entity org chart
Architect the Team’s files and records and coordinate with team members to ensure the various systems of records are maintained and that team members are following filing and naming conventions
Act as the administrator (user/admin) and co-architect the corporate minute books and related Shareholder and Board records for the company and its subsidiaries, this includes on the Company’s electronic platform as well as physical files for all original signatures
Working together with the CEO’s EA, coordinate and support the board of directors and its committees, including preparing and distributing materials, drafting resolutions and consents, managing and administering the board of directors portal
Prepare, format, collate and compile Board and Leadership materials, including materials in PowerPoint, Excel, Word and Adobe
Manage the administration of §16 D&O’s public company compliance, e.g. D&O Questionnaire, EDGAR codes, Forms 3, 4 and 5, and Section 16 compliance
Support the preparation and filing of SEC reports, including Forms 10-Q, 10-K, proxy statements, and other public company filings
Facilitate global KYC and signature requests, including collecting both original and electronic signatures, and arranging notary and apostille/authentication of documents
Provide auxiliary support for the Business Affairs team with the contract signature processes ensure compliance with signature authority policy
Assist with corporate development and strategic transactions, including organizing due diligence materials and data rooms
Coordinate logistics for Annual Shareholders Meetings and support its proxy processes
Assist in managing related party transactions and corporate aircraft compliance at the direction of the CLO and/or senior members on the team as well as periodic reporting for executive reimbursement or year-end taxes
Support equity administration through platforms like Shareworks/Morgan Stanley at Work, including monitoring equity transactions and facilitating compliance with insider trading policies
Administer insider trading plan compliance and 409A valuation process
Support invoicing and billing and disbursements, accruals and budgeting
Help with administrative tasks, such as copying, scanning, filing, faxing, mailing (mail merge) and other administrative tasks
We expect everyone on the Team to support each other and the business by pitching in and rolling up their sleeves as needed
Qualifications
Paralegal certificate from ABA-approved program or equivalent years of experience preferred.
5+ years of corporate paralegal experience, with a mixed background including both law firm and in-house corporate experience
Notary license preferred, or willing to obtain a license
Experience with working in a highly regulated industry or public company experience, including familiarity with SEC reporting and compliance requirements
Proficiency with board software (e.g., Diligent, DirectorsDesk etc.), stock administration platforms (e.g., Computershare, Shareworks/Morgan Stanley at Work etc.)
Experience with Docusign, Adobe and contract management systems
Proficiency in Adobe and Microsoft Office, including Word, Excel, PowerPoint and Teams
Experience in working in Excel and data or financial analysis and modeling
Excited by the idea of innovating and driving efficiency in the delivery of legal services using AI legal tools
Strong knowledge of entity management and corporate governance requirements
Ability to manage and prioritize multiple projects and tasks in a dynamic, fast-paced environment
Effective communicator with strong writing and drafting skills
Excellent analytical capabilities, organizational skills, and dedication to details
Ability to work effectively across all levels of the company, including senior officers, on a regular basis
Fast learner and self-starter with demonstrated ability to work independently and collaboratively

The salary range for this role is $93,400 per year - $120,120 per year. This role is bonus eligible.
