What to Expect (Job Responsibilities):
Assist with preparation and coordination of corporate and SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reports
Support corporate governance activities, including drafting minutes, resolutions, and agendas
Oversee subsidiary management, including entity records and annual filings
Manage legal aspects of acquisitions, financings, and capital market transactions
Collaborate with other departments on special projects and initiatives
What is Required (Qualifications):
Bachelor’s degree and paralegal certification
7+ years in a corporate paralegal role at a public company or major law firm
Experience supporting SEC reporting, including Forms 10-K, 10-Q, and proxy statements
Proven support of Board of Directors and committee governance processes
Demonstrated responsibility for corporate records and subsidiary management
How to Stand Out (Preferred Qualifications):
Background in a high-growth technology company
Proficiency with Workiva (Wdesk), Boardvantage, EDGAR, and Google Workspace
Experience with insider trading compliance programs and Rule 10b5-1 plans
Participation in debt or equity offerings and M&A transactions
Track record of improving governance workflows or implementing legal technology solutions
