Director of Contracts
Dynamic Aviation is seeking a highly qualified Director of Contracts with extensive experience in the defense and aviation industry. The ideal candidate will be proficient in handling complex contracts and negotiations with both vendors and clients. The Director of Contracts will lead a dedicated team and will be responsible for the full lifecycle of contract management, including development, negotiation, implementation, and compliance.
Key Responsibilities
- Oversee and manage all contract-related activities within the organization, ensuring alignment with company goals and compliance with all regulatory requirements.
- Lead contract negotiations, renegotiations, and contract dispute resolutions with vendors and clients, ensuring favorable terms for the organization.
- Develop and implement contract management policies, procedures, and best practices.
- Draft, review, and negotiate a wide range of agreements including government contracts, subcontracts, NDAs, teaming agreements, CRADAs, and OTAs.
- Establish and enforce internal policies and controls to ensure adherence to FAR/DFARS, export regulations (ITAR/EAR), and other applicable legal and regulatory requirements.
- Provide expert-level guidance on contract interpretation, disputes, modifications, and terminations.
- Review and approve all contractual documents for accuracy, performance risk, and conformance with contract terms, conditions, and provisions.
- Provide strategic advice and guidance on contract risks and mitigation strategies to senior management.
- Develop and ensure that all contracts are executed in accordance with corporate guidelines and legal requirements.
- Liaise with internal departments, including finance, business development, legal, and operations, to ensure contract compliance and to address any issues that may arise.
- Manage and mentor a team of contract professionals, fostering a collaborative and high-performing environment.
- Maintain a deep understanding of the defense and aviation markets to inform contract strategies and negotiations.
- Prepare and deliver reports on contract status, compliance, and other metrics to senior management.
- Stay abreast of legal changes affecting contracts and advise the leadership team accordingly.
Qualifications
- Bachelor’s degree in business, Law, or related field; Juris Doctor (JD) strongly preferred.
- Minimum 10 years of progressively responsible experience in contract administration or legal advisory roles preferably involving U.S. government contracts within the defense or aviation industry.
- Proven track record of successfully negotiating and managing complex contracts.
- Strong understanding of the legal, financial, and operational aspects of contracts in the defense and aviation sectors with significant experience with USG procurement regulations, FAR/DFARS or other transaction authority (OTA) in all aspects of contract life cycle.
- Excellent leadership and team management skills.
- Exceptional negotiation and conflict resolution abilities.
- High level of proficiency in contract management software and Microsoft Office Suite.
- Excellent written and verbal communication skills.
- Ability to work under pressure, manage multiple priorities, and meet deadlines.
- Must be able to maintain a high level of confidentiality and discretion.
Physical Requirements
- Must be able to work in an office environment.
- Ability to travel as required for contract negotiations and company representation.
- While remote work is supported, periodic on-site presence at company headquarters in Bridgewater, VA will be expected.
Security Clearance
- Candidates may be required to qualify for and maintain a government security clearance.
