
Senior Corporate Paralegal
Location:
New York, NY (Hybrid) Compensation:
$120,000–$160,000+ (flexible for right fit)
A sophisticated and growing business law firm in New York City is seeking a seasoned Corporate Paralegal to support its expanding corporate and transactional practice. This role requires a highly experienced professional who can independently manage corporate filings and serve as a key member of transactional deal teams.
The firm is looking for someone confident handling Delaware, SEC, and UCC filings with minimal supervision.
Key Responsibilities
Prepare and file corporate formation and qualification documents (with strong emphasis on Delaware entities)
Handle SEC filings (including Form D, Section 16, and related documentation as applicable)
Conduct UCC searches and prepare/file financing statements
Maintain corporate minute books, capitalization tables, and governance records
Support M&A, venture capital, and private equity transactions
Manage due diligence processes and closing logistics
Coordinate multi-jurisdictional filings and regulatory submissions
Interface directly with clients, state agencies, and third-party service providers
Qualifications
5+ years of corporate paralegal experience (law firm experience required)
Demonstrated experience with:
Delaware corporate filings
SEC filings
UCC searches and filings
Strong transactional experience supporting M&A and financing matters
Ability to manage multiple deadlines in a fast-paced environment
Exceptional attention to detail and organizational skills
