
Paralegal - Locations: Denver, Chicago, or Boston
An asset management company is looking to add an experienced paralegal with 2-3 years of experience to their team, preferably in their Denver office but can also sit in their Chicago or Boston location. This position is hybrid, in office 3 days a week.
Key Responsibilities:
Provide legal support in reviewing and negotiating investment management agreements and other institutional contracts.
Manage the full lifecycle of intermediary mutual fund distribution contracts, including drafting updates, revisions, and terminations.
Prepare, review, and assist with a variety of US mutual funds and alternative fund distribution agreements, including:
third‑party intermediary agreements
NSCC contracts
institutional client agreements
agreements for separately managed accounts (SMAs)
Assist with SMA relationship and contract management and maintain and organize contract records within a contract management system.
Support business development and sales teams by reviewing RFPs and due diligence questionnaires.
Coordinate contract execution with internal and external stakeholders as well as information requests and document production for internal audits, regulatory inquiries, or other research needs.
Must‑Have Skills & Qualifications:
Experience in the mutual fund or broader financial services industry (strongly preferred)
Direct experience with contract review and negotiation
Previous experience working as a paralegal
Paralegal certification required
Advanced computer skills, including strong proficiency in Microsoft Word and Excel
