About You You are a highly experienced Senior Corporate Paralegal with deep expertise supporting the corporate governance and entity management needs of a complex, multi-entity insurance organization, including regulated insurance subsidiaries. Serves as a subject matter expert in corporate secretarial practices, board governance, and legal entity compliance, exercising a high degree of autonomy, sound judgment, and accountability. Partners effectively with attorneys, executives, and cross‑functional stakeholders to proactively identify risk, enhance processes, and ensure corporate governance practices scale appropriately with the needs of the business.
What You’ll Do Corporate Governance & Board Support
Owning the governance calendar and ensuring timely execution of all Board, Committee, and Shareholder meetings
Preparing and coordinating agendas, board decks, resolutions, minutes, and written consents with a high degree of accuracy and professionalism
Advising internal stakeholders on corporate governance requirements, documentation standards, and compliance practices
Maintaining official corporate records, including minute books, charters, bylaws, and governance policies
Managing officer/director appointments, elections, and corporate actions in compliance with applicable regulations
Entity Management & Regulatory Compliance
Managing domestic and foreign qualifications, annual filings, and Secretary of State requirements across multiple jurisdictions
Serving as the primary point of contact for third-party entity management vendors and ensuring service quality and accuracy
Overseeing DBA filings, non‑insurance licensing, and corporate registration requirements
Maintaining and auditing the corporate structure, including organizational charts and entity records
Operational Leadership & Legal Department Enablement
Leading intake and oversight for service of process, subpoenas, and other legal notices
Managing workflows across shared Legal inboxes and correspondence channels
Supporting quarter‑close and legal operational processes Assisting with legal budget and vendor management activities
Identifying opportunities to improve governance processes, documentation systems, and compliance tracking
Leadership & Collaboration
Serving as a trusted partner to corporate attorneys and business leaders
Mentoring junior legal staff and contributing to team knowledge‑sharing
Driving continuous improvement and best practices
Must Haves
6–8+ years of corporate paralegal experience, with significant focus on corporate governance and entity management
Bachelor’s degree and/or paralegal certificate preferred
Experience supporting regulated insurance entities strongly preferred
Demonstrated ability to operate independently and manage complex responsibilities
Strong knowledge of corporate secretarial practices and entity compliance
Excellent organizational skills, attention to detail, and sound judgment
Proven ability to partner cross‑functionally and communicate effectively
Proficiency with Microsoft Office; experience with entity management software is a plus

Compensation The Morristown, NJ and San Francisco Bay Area base pay range for this role is $105,000 – $140,000. Exact compensation may vary based on several job‑related factors that are unique to each candidate, including but not limited to: skill set, experience, education/training, location, business needs and market demands.
