An experienced corporate paralegal on our dedicated team of legal professionals will contribute to work that matters, supporting corporate governance activities, our corporate secretary’s office, and our M&A team. Key Job Responsibilities

Preparing Section 16 filings for members of our Board of Directors and our executive officers and corresponding with them in relation to those filings Preparing weekly agendas for corporate secretary’s team meetings Supporting preparation for the annual shareholders’ meeting Preparing drafts of Board and Committee meeting agendas Organizing and uploading Board and Committee materials to Diligent Mastering use of our legal entity management system, including inputting information into that system and responding to requests from corporate departments and Business Unit personnel for information Maintaining our master subsidiary list and corporate history, and providing updates, as necessary, to auditors and others Preparing corporate governance documents and coordinating signatures Preparing Assistant Secretary’s certificates for officer’s signature attesting to incumbencies, board resolutions, etc. for various purposes Forming and dissolving entities Ordering good standing certificates, certified charters, apostilles, etc., as necessary Researching shareholdings when we receive questions from record holders and coordinating with the transfer agent Responding to requests from our subsidiaries, including foreign entities Managing our nationwide unclaimed property collection efforts Assisting with M&A transactions, including legal diligence, closing logistics, drafting ancillary documents and managing signature pages Conducting lien searches and litigation docket searches Assisting with antitrust and other regulatory filings Partnering with other members of the legal team on continuing education and training Performing other duties as necessary or assigned Education / Experience

Bachelor’s degree Paralegal certification preferred Three years of relevant work experience Skills / Competencies

Strong interpersonal skills and customer-service focus Excellent written and oral communication skills Ability to work independently and collaboratively Ability to prioritize tasks based on relative importance and urgency Drive to deliver quality results on time and in a highly professional manner WORK ENVIRONMENT

This is an on-site position that allows for regular engagement with the team to foster collaboration, collegiality and communication. Occasional travel is required. Benefits
