The Associate Counsel Intellectual Property and Commercial Transactions is responsible for a full range of tasks required to protect Jazwares IP portfolio and mitigate litigation risks. This role works directly under the Associate General Counsel, IP and will assist with managing and driving IP strategy for the company’s trademarks, trade dress, copyrights, trade secrets, and domain names. This role collaborates closely with Jazwares’ brand, business and licensing teams to gain a deeper understanding of key assets and develop and implement comprehensive IP protection strategies and policies. The Associate Counsel IP will work with outside counsel to develop and maintain Jazwares’ trademark portfolio, as well as support IP counseling and IP litigation matters. This role will also involve work on a broad range of other legal issues including preparation of option, independent contractor, license, and distribution agreements and general business contract review and negotiation.

What You Will Do:

Manage and drive strategy for all types of IP matters across the company, including those related to trademarks, trade dress, trade secrets, copyrights and domain names

Manage outside counsel to build and maintain Jazwares’ IP portfolios

Counsel business stakeholders with respect to IP issues, including those related to new product releases

Oversee outside counsel and manage IP litigation matters in partnership with the legal litigation team

Handle drafting, review, and negotiation of commercial contracts, including licensing agreements (inbound/outbound), distribution agreements, NDAs and marketing and customer agreements

Forge relationships with business leaders across the company in order to strategically develop and implement strategies, including policies, IP strategies and best practices

Handle transactional matters and contract review and negotiation

Perform other duties as assigned

What We Are Looking For:

Bachelor's degree in a related field required

JD from an accredited law school required

Practicing attorney in the US, in good standing with the Florida bar or another state with the ability to become Authorized House Counsel

3+ years of substantive intellectual property and transactional experience with a corporate legal department or a nationally recognized law firm

Experience counseling clients on all types of intellectual property and contract matters

A team player who can form and foster business relationships with internal clients and is committed to being a true legal partner

Excellent communication (oral and written) and interpersonal skills within and across departments and externally – must be proactive in providing counsel to clients

Strong writing skills required

Highly organized with the ability to manage deadlines and a heavy workload while remaining calm in a high‑pressure environment

Sound judgment; ability to make clear and reasoned recommendations; ability to think cross‑functionally and determine who should be kept informed

Self‑starter with good business sense and a sense of urgency, honesty, and fairness

Self‑confident with the ability to quickly inspire confidence from internal business clients

Preferred Qualifications

US trademark clearance experience

US and foreign IP portfolio management experience

Trademark, trade dress, copyright, domain name and trade secret enforcement experience

Transactional/contract review and negotiation experience

Experience working with consumer products and on counterfeiting matters a plus

Multilingual a plus
