Compensation:

$100,000–$140,000 DOE + comprehensive benefits (medical, dental, vision, etc.)

LHH is partnering with a national law firm to identify an experienced Corporate Paralegal to support a Partner and Special Counsel within a transactional corporate practice in their Downtown Los Angeles office. This role is ideal for a detail‑oriented paralegal with hands‑on experience supporting corporate transactions, entity management, and deal closings in a fast‑paced law firm environment.

Responsibilities Provide substantive paralegal support throughout all phases of corporate and transactional matters, including mergers and acquisitions, financings, and general corporate transactions.

Assist with corporate and transactional closings by preparing and managing closing checklists, coordinating signature packets, tracking execution, and assembling physical and electronic closing binders.

Draft, revise, proofread, compare, and redline a variety of corporate and transactional documents with a high level of accuracy.

Prepare and organize due diligence materials, manage data rooms, and maintain deal documentation within document management systems.

Support entity formation and maintenance for corporations and LLCs, including preparing formation documents, consents, resolutions, and organizational records.

Handle corporate filings and searches, including UCC filings, lien searches, post‑filing searches, and related corporate compliance matters.

Draft and update standard corporate documents, correspondence, and form agreements under attorney supervision.

Coordinate document flow for transactions, including preparation, distribution, execution, and post‑closing follow‑up.

Track transaction deliverables, deadlines, and closing timelines to ensure timely completion of all requirements.

Maintain accurate corporate records, matter files, and contact information.

Notarize documents and assist with notary authentication and apostille processes as needed.

Assist with time entry and support billing processes as requested.

Collaborate closely with attorneys, clients, opposing counsel, and internal staff to support efficient transaction execution.

Handle additional paralegal and administrative projects as assigned.

Qualifications 3+ years of experience as a Corporate Paralegal or Legal Assistant supporting corporate and/or transactional practices strongly preferred.

Demonstrated experience assisting with corporate transactions and deal closings.

Strong document production skills, including redlining, proofreading, and document comparison.

Experience with entity formation, corporate filings, UCC filings, and due diligence support preferred.

Exceptional organizational skills with the ability to manage multiple transactions and deadlines simultaneously.

High attention to detail and commitment to producing accurate, high‑quality work product.

Strong written and verbal communication skills with a professional, client‑service orientation.

Proactive, dependable team player capable of working independently and exercising sound judgment in a fast‑paced environment.
