What Youll Do As a key support member of the Corporate Practice Group, you will provide essential legal and administrative assistance to attorneys handling sophisticated corporate matters, including transactions, governance, mergers & acquisitions, financings, and compliance. Responsibilities include: Drafting, editing, formatting, and proofreading corporate legal documents, including contracts, formation documents, resolutions, governance materials, M&A agreements, financing documentation, and client correspondence Preparing and managing transaction support materials such as closing binders, signature pages, corporate records, entity files, certificates, and filings Assisting with regulatory and compliance-related filings and maintaining corporate records Organizing and maintaining electronic and physical client files, including version control and record-keeping Managing attorney calendars, coordinating meetings, and handling travel and scheduling logistics Supporting billing, time entry, expense reports, and general administrative functions Acting as a liaison between attorneys, clients, and external parties to ensure timely and professional communication Assisting with special projects and overflow support as needed What Were Looking For
Several years of experience as a Legal Secretary or Legal Assistant within a corporate law practice or law firm environment Strong familiarity with corporate legal terminology and transactional work (entity formation, governance, M&A, financings) Proficiency in Microsoft Word, Excel, and Outlook; experience with document management systems is a plus Exceptional proofreading skills and strong attention to detail Excellent organizational skills with the ability to manage multiple deadlines in a fast-paced setting Professionalism, discretion, and the ability to handle confidential information A strong client-service mindset and the ability to coordinate across multiple stakeholders
