
Corporate Actions Vice President

Overview
Executing notification of corporate events to custody clients and securities lending partners (Global Securities Lending Solutions (GSLS), Third Party Custodians and Borrowers). Tracking of corporate action (CA) events and elections custody clients and securities lending partners (GSLS, Third Party Custodians and Borrowers). Working with securities lending borrowers (up to record date) on elections and to split elections to receive underlying client intended elections (i.e. Cash or securities). Collecting CA event response and checking CA event election with agent or borrower and send 180 letters to Securities Lending borrowers, as necessary. Posting or checking CA event distribution on trust system. Confirming client eligibility of Class Actions and create or check notice to clients. Processing of class action claims for clients. Working with CA and Class Action Agents on events. User Acceptance Testing of enhancements to the CA system. Investigating and responding to client and securities lending partner inquiries. Handling of client proxies (U.S. and Global). Managing annual Risk and Control Self Assessment (RCSA), audits and exams. Updating of CA procedures, participating in other projects as necessary, and acting as backup to other Custody and GSLS Officers, as assigned. Based on changes in the business work environment, job responsibilities can change, and additional functions and tasks may be added or removed accordingly. Additionally, this position will perform other duties as required, and participate in special projects as deemed necessary and appropriate by Management. Skills & Requirements
Education: Bachelor’s degree required (Business, Accounting or Finance). Experience: 8+ years of experience in the banking industry in corporate action field or relevant functional experience. Candidate must have solid understanding of corporate action, class action and proxy processing (custody and securities lending activity). Experience with securities lending related CA processing is highly desired. Prior supervisory skills. Proficient in Microsoft Excel, Microsoft Word, and other Office products. Must be versatile, able to work effectively, independently, and as part of a team. Ability to multi-task (handling regular duties while working on projects). Flexible to work overtime from time to time as business requires. Compensation & Benefits
The typical base pay range for this role is between $120K - $150K depending on job-related knowledge, skills, experience and location.
