We have been engaged to find a Real Estate Partner/ Of Counsel to join our client’s talented team. This dynamic, civil litigation law firm in Houston, TX (Memorial Area) is looking to add an experienced Real Estate Partner to their team.
Job Description Our firm is seeking an experienced Real Estate Attorney with substantial experience in complex commercial real estate acquisitions, development, and construction matters.
The ideal candidate will have a strong background in negotiating and closing complex real estate transactions, drafting, and negotiating construction-related agreements, and advising clients through all phases of development projects, including large‑scale, multi‑phase, or capital‑intensive developments. This is an excellent opportunity for a motivated attorney with an established practice and some level of portable business who is looking to grow within a collaborative and entrepreneurial environment that allows practice expansion and cross‑practice collaboration.
Responsibilities
Lead and manage commercial real estate acquisitions and dispositions
Advise clients on real estate development projects from inception through completion
Draft and negotiate purchase and sale agreements, development agreements, leases, easements, and related transactional documents
Draft and negotiate construction contracts and related construction documentation, including EPC contracts, design‑build agreements, and construction management agreements
Conduct due diligence, including title and survey review, zoning, and land use analysis
Coordinate and close complex real estate transactions
Provide strategic counsel to developers, investors, landlords, and business owners, private equity sponsors, and institutional capital partners
Structure and negotiate real estate related and project financing arrangements
Advise on performance bonds, indemnity structures, liquidated damages, delay claims, change orders, and construction risk allocation
Represent owners and developers in infrastructure, industrial, energy, renewable, manufacturing, healthcare, and data center developments
Advise on site control agreements, ground leases, easements, rights‑of‑way, and utility agreements for infrastructure and energy‑related projects
Experience with public‑private partnerships (P3), concession agreements, and municipal development frameworks preferred
Experience with construction lending, syndicated loan facilities, mezzanine financing, and intercreditor arrangements
Support business development initiatives and expand firm market presence in commercial real estate and construction sectors
Qualifications
Juris Doctor degree from an accredited law school
Licensed and in good standing with the Texas State Bar
Significant experience in commercial real estate transactions and development
Experience in infrastructure, energy, industrial, or large‑scale mixed‑use projects a plus
Strong drafting, negotiation, and analytical skills
Ability to manage multiple matters and meet deadlines in a fast‑paced environment
Some level of portable business required
