Position Summary
We are seeking an experienced Corporate Paralegal to support the formation, registration, and maintenance of U.S. and non-U.S. legal entities. The ideal candidate will have a strong understanding of multi‑jurisdictional entity compliance, corporate governance, and regulatory filings. Experience working with U.S. government contractors is highly desirable.
This role involves close collaboration with internal legal counsel, business development teams, and external advisors to ensure timely, accurate, and compliant entity formation and maintenance activities.
Key Responsibilities
Entity Formation & Registration
Prepare and file documentation for the formation of corporations, LLCs, and partnerships across U.S. and international jurisdictions.
Update and maintain registrations.
Draft organizational documents, including articles of incorporation, operating agreements, bylaws, consents, and resolutions.
Corporate Compliance & Governance
Maintain corporate minute books, annual reports, officer/director updates, and registered agent relationships.
Monitor and track jurisdictional renewal deadlines; coordinate timely filings.
Assist with obtaining EINs, DUNS numbers, CAGE codes, and other government identifiers.
Support preparation and maintenance of corporate compliance documentation required for government contracting.
Government Contracting and Export Support (Preferred Experience)
Assist with SAM.gov registrations, updates, and representations & certifications.
Support facility clearance filings with the Defense Counterintelligence and Security Agency (DCSA).
Assist with export control registrations and licenses.
Provide compliance support relating to ownership disclosures, responsibility determinations, and related regulatory filings.
Work with internal stakeholders to maintain accurate contractor eligibility documentation.
International & Cross‑Border Support
Assist in coordinating filings for non-U.S. entities establishing or registering subsidiaries in the U.S., as well as for U.S. entities establishing or registering subsidiaries outside the U.S.
Support apostille and legalization processes.
Liaise with foreign counsel on documentation requirements and corporate records.
Research & Documentation
Conduct corporate and regulatory research across U.S. and international jurisdictions.
Prepare summaries and checklists for entity requirements, fees, and timelines.
Maintain organized, accessible electronic corporate records.
Qualifications
Required
3+ years of corporate paralegal experience in a law firm or in‑house legal department.
Experience forming and registering business entities.
Strong knowledge of corporate governance, registered agent processes, and compliance tracking.
Proficiency with online filing portals (e.g., state Secretary of State websites).
Excellent attention to detail and ability to manage multiple deadlines.
Strong communication and organizational skills.
Preferred
Experience supporting U.S. government contractors and familiarity with SAM.gov and related compliance requirements.
Experience with international corporate registrations.
Experience with compliance management platforms
Hybrid position with an expectation of regular availability in the DC metropolitan area (Washington, DC / Northern Virginia / Maryland).
