A leading national law firm is seeking a mid‑level Capital Markets & Securities Associate (3–5 years PQE) to join its busy Denver office. The team advises regional and national clients on public and private securities offerings, corporate governance, and compliance matters. This is a great opportunity to work on complex SEC filings and governance projects with strong mentorship and significant deal exposure.
About the Team Work closely with experienced partners and a collaborative group advising clients across industries. The team is known for its supportive culture, focus on professional development, and delivering high‑quality legal services.
Key Responsibilities
Prepare and review SEC filings including Forms S‑1, S‑3, S‑4, 8‑K, 10‑Q, 10‑K, and proxy statements
Support public and private securities offerings and corporate governance initiatives
Assist with securities‑related aspects of mergers, acquisitions, and strategic investments
Manage multiple projects and deadlines in a fast‑paced environment
Coordinate with internal teams across offices
Who You Are
3–5 years’ experience with capital markets transactions and SEC compliance
Knowledgeable about federal securities laws and corporate governance
Strong drafting and communication skills
Able to handle multiple priorities and work collaboratively
Admitted to practice in Colorado or eligible to waive in
Compensation Base Salary: $220,000 – $235,000 (DOE)
Bonuses: Performance and hours‑based bonus program
