Job Overview
You will be an integral part of our legal team, reporting to the General Counsel, and working with us to provide expert legal counsel while supporting the successful growth and execution of our private funds business.
This is the perfect role for a senior-level lawyer with an entrepreneurial mindset, attention to detail, and a passion for learning and growing, who thrives in a dynamic, fast-paced startup environment.
Key Responsibilities
Oversee all aspects of the funds business, including fund structuring and drafting/review of legal documentation, including limited partnership/limited liability company agreements, private placement memoranda, subscription agreements, and side letters.
Own the development and implementation of legal and operational infrastructure to support operation of funds through their lifecycle.
Lead strategic legal support for our funds team.
Work collaboratively with colleagues and stakeholders across multiple departments to facilitate strategic initiatives related to our funds business.
Partner with the Director of Compliance to ensure compliance with applicable securities laws.
About You
A J.D. or equivalent with a license to practice law in the United States.
8+ years of relevant legal experience, ideally having started out at a law firm, and honed in-house working at a platform-based financial services company.
Exposure to work on private funds and familiarity with RIAs.
A sharp interest in creative legal problem solving, including researching novel and ambiguous areas of law.
A desire to work on an agile team providing pragmatic advice and guidance to product, business, and operations teams that are moving very quickly.
A track record of sound judgment and composure in high-pressure situations.
Familiarity with the Investment Company Act of 1940 and registered funds.
Exposure to work on private investments and/or structuring alternative products.
