Pandora Media, Inc. is looking for a Corporate Paralegal to support the Legal team. The right individual will be a key contributor to the Corporate function of this team from the start. We’re seeking a seasoned professional with substantial corporate, securities and transactional experience in a top-tier law firm and an in-house legal department.

  • Assist with the drafting, review and filing of reporting documents with the SEC including Forms 8-K, 10-Q, 10-K and Proxy statement

  • Draft and file all Section 16 filings

  • Prepare and file Form IDs to obtain access codes for EDGAR

  • Officer and director form filings

  • Manage beneficial ownership table on an ongoing basis – update it for every trade required

  • Administer various compliance efforts including quarterly certification and related reports and tracking

  • Proactively monitor and process pre-clearance requests for stock trades, quarterly certification process and whistleblower hotline intake

  • Deploy new and updated company policies, charter documents and training launches

  • Draft legal opinions for stock transfer requests, work with stock administrator and transfer agent to process stock transfer requests

  • Maintain and managing all corporate charter documents and entity information for all corporate entities (foreign and domestic) (utilizing hCue)

  • Substantial experience with Rule 144 and legal opinions

  • Assist with preparation and distribution of materials for board of director and board committee meetings including meeting agendas and presentations

  • Draft all minutes, routine resolutions and written consents and maintain all records of the meetings

  • Record director attendance and handle calculation of compensation

  • Manage relationships with institutional stockholders and their representatives, directors and executive officers

  • Assist with planning and preparation of shareholder meetings and related documents and filings including director and officer questionnaires

  • Utilize online services and state web sites to obtain corporate documents and certificates

  • Handle other general corporate duties such as name reservations, foreign qualifications and annual report filings

  • Management of all corporate matters for parent corporation and US and foreign subsidiaries

  • General corporate governance housekeeping, including filing and corporate correspondence and certain tax filings

  • Organize and manage large transactional closings, coordinating the execution of ancillary agreements, certificates and other deal related documents

  • Conduct basic due diligence, reviewing and organizing materials and setting up data rooms

  • Organize transactional documents for post-closing distributions and preparation of closing binders

  • Provide support for M&A activities and other corporate transactions

  • Proven ability to work effectively under pressure in a fast-paced, deadline driven environment

  • Strong attention to detail

  • Highly organized with excellent analytical, written and oral communication skills

  • Team player willing to take on new projects and assignments as the department grows

  • At least 6-8 years of experience

  • Proficiency with Microsoft Office, including Excel and Power Point

  • Ability to pick up new technological tools quickly

  • Top-tier law firm experience required – in-house experience a plus

  • Hands-on experience and in-depth knowledge of general legal concepts, terminology and principles related to SEC and jurisdictional filings, corporate formation and charter documents, board and committee charters and minutes, stock plans, mergers & acquisitions

  • Experience drafting and filing routine SEC documents

  • Good project management skills

  • Ability to operate independently with limited attorney supervision

  • Working knowledge of hCue a plus

  • Ability to utilize legal entity management/stock option tracking software

  • Experience handling corporate documents and filings throughout the US and abroad

  • Outgoing, optimistic, and strong interpersonal skills

  • Self-starter, quick and flexible learner
