The opportunity As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will be responsible for advising, drafting, updating, and negotiating the legal terms and conditions of client‑facing software licenses and software‑as‑a‑service (“SaaS”) agreements, as well as providing internal legal advice to EY technology and product teams from ideation through go‑to‑market.
Your Key Responsibilities
Draft and negotiate client‑facing product and platform agreements, advising on contractual strategy and risk.
Collaborate closely with other members of the US GCO and local counsel in EY member firms.
Work with intellectual property counsel and procurement counsel on product and platform commercialization.
Coordinate with cross‑functional teams (Data Privacy, Information Security, Independence, Quality, and Tax) as needed.
Understand existing EY policies and help enhance guidance relevant to technology products.
Support and advise internal product teams on development of new products and platforms.
Maintain awareness of the full range of tools, products, and platforms to provide effective counsel.
Manage workflow in a dynamic environment, remaining responsive, reliable, communicative, and accountable.
Provide practical legal advice to internal product teams and business stakeholders.
Build relationships and collaborate seamlessly with other GCO members.
Develop and deliver training on product and platform agreements and best practices.
Continuously learn, contribute, and innovate in a dynamic space.
Qualifications
7+ years of technology‑related transactional experience in a client‑facing capacity.
Strong background in SaaS, software licenses, and emerging technology delivery models.
Experience developing contracting templates, playbooks, and standards.
Ability to leverage legal and collaboration tools to optimize teamwork.
Experience in data privacy, data security, licensing, and intellectual property law.
Experience with cross‑border contracting and cross‑border data transfer.
Understanding of terms for current and new technologies (cloud, AI) and ability to explain related risks.
Excellent oral and written communication skills.
Excellent negotiation and interpersonal skills.
High cultural and emotional intelligence, resilience, flexibility, and adaptability.
Ability to work independently and collaboratively across functions and geographies.
Document complex legal and contractual principles, balancing legal and commercial risk.
Highly responsive and able to manage high workload volumes and competing priorities.
Solution‑oriented focus on exceptional client service.
Experience in a product counsel role within a technology or consulting organization.
Bachelor’s degree from an accredited 4‑year college.
Juris Doctor from an accredited law school.
Membership in a State Bar as an attorney qualified to practice law.
Good standing with the applicable State Bar, including current Continuing Legal Education requirements.
