About the Role As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will provide legal support regarding technology products and platforms for EY clients. Your work focuses on drafting, updating, and negotiating client‑facing software licenses and SaaS agreements, AI, big data, analytics, cloud computing, and advising internal technology and product teams.
Key Responsibilities
Draft and negotiate client‑facing product and platform agreements, advising on contractual strategy and risk and staying current with legal developments
Collaborate with US GCO members, local counsel, intellectual property counsel, and procurement counsel on product commercialization
Coordinate with cross‑functional teams (Data Privacy, Information Security, Independence, Quality, Tax) as necessary
Enhance existing EY policies and provide guidance on technology products
Advise internal product teams on new product development
Understand and support the full range of tools, products, and platforms used by EY
Manage workflow in a dynamic environment, remaining responsive, reliable, communicative, and accountable
Provide practicable legal advice in cross‑functional settings
Build relationships and team seamlessly with GCO members to deliver exceptional legal service
Develop and deliver training and best‑practice knowledge sharing across the legal network and business
Continuously learn, contribute and innovate in a dynamic space
Qualifications
7+ years of relevant technology‑related transactional experience with drafting and negotiation of product and platform agreements
Strong background in SaaS, software licenses, emerging technologies, and go‑to‑market delivery models
Experience developing contracting templates, playbooks and standards
Proficiency in leveraging legal and collaboration tools to optimize teamwork
Knowledge of data privacy, data security, licensing and intellectual property law
Experience with cross‑border contracting, including local country agreements and cross‑border data transfer
Ability to understand, assess, and negotiate terms for current and new technologies such as cloud and AI, and explain legal and business risks
Excellent oral and written communication and negotiation skills
High degree of cultural and emotional intelligence, resilience, flexibility, and adaptability
Ability to work independently and team effectively with colleagues in other functions and geographic locations
Strong analytical skills and ability to articulate complex legal and contractual principles while balancing risk from both legal and commercial perspectives
Highly responsive with ability to manage high workloads and competing priorities efficiently
Solution oriented with focus on exceptional client service
Experience in a product counsel role with leading negotiations
Bachelor’s degree from an accredited 4‑year college
Juris Doctor from an accredited law school
Current membership in a State Bar with legal practitioner status
Good standing with the applicable State Bar, including current continuing legal education requirements
