Senior Counsel – Products & Platforms

The Opportunity As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will be responsible for providing advice, counsel, and legal support in respect of the provision of technology products and platforms to EY clients. This includes advising, drafting, updating, and negotiating the legal terms and conditions of client‑facing software licenses and SaaS agreements, artificial intelligence, big data, cloud computing, and providing internal legal advice to various EY technology and product teams.
Key Responsibilities
Draft and negotiate client‑facing product and platform agreements, including advising on contractual strategy and risk, and keeping up to date with relevant legal developments
Collaborate closely with other members of the US GCO as well as local counsel in other EY member firms
Collaborate closely with intellectual property counsel and procurement counsel on the development and commercialization of various products and platforms
Support coordination with cross‑functional business and internal support teams as necessary
Understand existing EY policies and help enhance policies and guidance relevant to technology products and platforms
Support and advise internal product teams in the development of new products and platforms
Gain a working understanding of the full range of tools, products and platforms required to be supported in order to provide effective product counsel
Manage workflow in a highly dynamic environment and remain highly responsive, reliable, communicative, and accountable to leadership
Be adept in cross‑functional settings and provide practicable legal advice to internal product teams and business stakeholders
Build relationships and team seamlessly with other members of GCO to deliver exceptional legal service
Develop and deliver training on product and platform agreements, knowledge sharing, and best practice across the legal network and business
Continuously learn, contribute and innovate in a dynamic space
Qualifications
7+ years of technology‑related transactional experience in a client‑facing capacity, including drafting and negotiation of product and platform agreements
Strong background in supporting SaaS, software licenses, emerging technologies and various go‑to‑market delivery models
Experience developing contracting templates, playbooks and standards
Adept at leveraging legal and other collaboration tools and technology to optimize teamwork
Experience in data privacy, data security, licensing, and intellectual property law
Experience with cross‑border contracting and cross‑border data transfer
Ability to understand, assess, and negotiate terms for current and new technologies, including cloud and AI, and explain related legal and business risks
Excellent communication, negotiation and interpersonal skills
High degree of cultural and emotional intelligence, resilience and flexibility
Ability to work independently and effectively with global teams
Strong analytical and documentation skills, balancing risk from legal and commercial perspectives
Highly responsive and capable of managing high workload volumes and competing priorities efficiently
Solution oriented with focus on exceptional client service
Experience leading negotiations in product counsel role in a technology or consulting organization
Bachelor’s degree from an accredited 4‑year college
Juris Doctor from an accredited law school
Membership in a State Bar as an attorney qualified to practice law
Good standing in the applicable State Bar, including current Continuing Legal Education requirements
