The Opportunity As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will provide advice, counsel, and legal support for the provision of technology products and platforms to EY clients. Your focus will be on advising, drafting, updating, and negotiating client‑facing software licenses, software‑as‑a‑service (SaaS) agreements, artificial intelligence, big data, analytics, and cloud computing agreements. You will also give internal legal advice to EY technology and product teams from ideation to go‑to‑market.

Your Key Responsibilities

Draft and negotiate client‑facing product and platform agreements, advising on contractual strategy and risk.

Collaborate closely with US GCO members and local counsel in other EY member firms.

Work with intellectual property counsel and procurement counsel on product and platform commercialization.

Coordinate with cross‑functional teams (Data Privacy, Information Security, Independence, Quality, Tax) as needed.

Understand existing EY policies and help enhance guidance relevant to technology products and platforms.

Advise internal product teams in developing new products and platforms.

Maintain a working knowledge of the full range of tools, products and platforms supported to provide effective counsel.

Manage workflow in a dynamic environment, remaining responsive, reliable, communicative, and accountable to team leadership.

Provide practical legal advice in cross‑functional settings.

Build relationships and collaborate with GCO members to deliver exceptional legal service.

Develop and deliver training on product and platform agreements and best practice across the legal network.

Continuously learn, contribute, and innovate in a dynamic space.

To qualify, candidates must have:

7+ years of relevant technology‑related transactional experience in a client‑facing role, including drafting and negotiation of product and platform agreements.

Strong background supporting SaaS, software licenses, emerging technologies, and various go‑to‑market delivery models.

Experience developing contracting templates, playbooks, and standards.

Adept at leveraging legal and collaboration tools and technology to optimize teaming.

Experience in data privacy, data security, licensing, and intellectual property law.

Experience with cross‑border contracting, including local country agreements and cross‑border data transfer.

Ability to understand, assess, and negotiate terms for current and new technologies (cloud and AI) and explain related legal and business risks.

Excellent communication skills, both oral and written.

Excellent negotiation and interpersonal skills.

High degree of cultural and emotional intelligence, resilience, and adaptability.

Ability to work independently and team effectively with colleagues in other functions and locations.

Strong grasp of complex legal and contractual principles, balancing risk from both legal and commercial perspectives.

Highly responsive with ability to manage high workload volumes and competing priorities.

Solution‑oriented focus on exceptional client service.

Experience in a product counsel role in a technology or consulting organization with leading negotiations.

Bachelor’s degree from an accredited 4‑year college.

Juris Doctor from an accredited law school.

Membership in a State Bar as an attorney qualified to practice law.

Good standing with the applicable State Bar including being current on individual state Continuing Legal Education requirements.
