Opportunity As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will provide advice, counsel, and legal support in respect of technology products and platforms to EY clients. You will advise, draft, update, and negotiate legal terms for client‑facing software licenses, SaaS agreements, AI, big data, analytics, cloud computing, and give internal legal advice to EY technology and product teams from ideation to go‑to‑market.
You will work closely with other GCO groups in the United States and other jurisdictions, and assist in coordinating with cross‑functional teams (Data Privacy, Information Security, Independence, Quality, Tax). Your role requires experience advising in a supplier‑side technology transactional legal role with knowledge of current and emerging technologies and a superior ability to manage multiple priorities.
Your Key Responsibilities
Draft and negotiate client‑facing product and platform agreements, advising on contractual strategy and risk.
Collaborate with US GCO members and local counsel in other EY member firms.
Work with intellectual property and procurement counsel on product and platform commercialization.
Coordinate with cross‑functional teams such as Data Privacy, Information Security, Independence, Quality and Tax.
Understand and enhance EY policies relevant to technology products and platforms.
Advise internal product teams in the development of new products and platforms.
Gain a working understanding of the full range of tools, products and platforms to provide effective counsel.
Manage workflow in a dynamic environment, remaining highly responsive, reliable, communicative and accountable to leadership.
Provide practicable legal advice to internal product teams and business stakeholders.
Build relationships and team seamlessly with other GCO members to deliver exceptional legal service.
Develop and deliver training on product and platform agreements, knowledge sharing and best practice.
Continuously learn, contribute and innovate in a dynamic space.
To qualify, candidates must have
7+ years of relevant technology‑related transactional experience in a client‑facing capacity, including drafting and negotiation of product and platform agreements.
A strong background in supporting SaaS, software licenses, emerging technologies and various go‑to‑market delivery models.
Experience developing contracting templates, playbooks and standards.
Proficiency in leveraging legal and other collaboration tools and technology to optimize teaming.
Experience in data privacy, data security, licensing, and intellectual property law.
Experience with cross‑border contracting (including local country agreements and cross‑border data transfer).
Ability to assess and negotiate terms for current and new technologies (cloud, AI) and explain legal and business risks.
Excellent communication (oral and written) and negotiation skills.
High cultural and emotional intelligence, with resilience and adaptability.
Ability to work independently and with colleagues in other functions and locations.
Ability to articulate complex legal and contractual principles and balance risk from legal and commercial perspectives.
Highly responsive to manage high workloads and competing priorities.
Solution oriented with a focus on exceptional client service.
Experience in a product counsel role within a technology or consulting organization, leading negotiations.
Bachelor’s degree from an accredited 4‑year college.
Juris Doctor from an accredited law school.
Membership in a State Bar as an attorney licensed to practice law.
Good standing in the applicable State Bar, current on continuing legal education requirements.
