What You’ll Do
Support the U.S. corporate legal team with the preparation and filing of SEC filings, including Forms 8‑K, 10‑K and 10‑Q, proxy statements, and proxy materials using Workiva software
Set up templates and create first drafts of SEC filings on Workiva; make edits and updates to SEC forms as necessary; maintain SEC filing codes and passphrases for company, directors and officers; prepare and submit Nasdaq notifications
Manage and track stock ownership information, Section 16 and Rule 144 compliance (including drafting and filing Forms 3, 4 and 5 and reviewing and managing Form 144s) and assist with 10‑b5‑1 trading plans
Support corporate legal team in maintaining corporate compliance with SEC, stock exchange and other legal requirements applicable to a publicly‑traded company (including autonomously managing processes such as Director & Officer Questionnaires and related party transaction updates)
Help coordinate the Annual Meeting of Stockholders, including coordinating activities of third‑party vendors to ensure timely distribution and filing of proxy materials to shareholders
Assist with corporate governance matters including equity documentation and preparing and managing materials for board meetings
Administer the company’s Insider Trading Policy, Trading Windows, Covered Persons List and Pre‑clearance process, and implement and monitor blackout periods and trading restrictions on the equity management platform (EquatePlus)
Assist corporate legal team with M&A processes, as they arise
Assist with subsidiary management, including maintaining global subsidiary books and records, organizational chart, officer and director information, ownership data, and organizational documents
Organize, maintain and update the corporate legal team’s files and legal documents on intranet (SharePoint) and coordinate subscriptions and legal resources
Assist with other corporate and securities compliance matters, including finding and tracking CLE courses for U.S. attorneys
Perform corporate legal research for public companies, including benchmarking and peer reviews
Assist with obtaining, and distributing signatures (via DocuSign), notarizations, apostilles, legalized documents, certified copies, and corporate filings
Complete other projects as assigned by the corporate legal team
Qualifications
B.A. or equivalent experience (Paralegal Certification is a plus)
4+ years of experience as a Corporate Paralegal for a top law firm and/or an in‑house corporate legal department, with relevant experience working on public company matters, including SEC and stock exchange filings
Strong organizational and time‑management skills
Excellent communication, drafting, proofreading, formatting, attention to detail and follow‑up skills, with an ability to communicate effectively with individuals and teams at all levels of the company
Proactive self‑starter with ability to work independently; exercises good judgment in determining when to consult attorneys, management, colleagues, etc.
Strong legal research, analytical, and problem‑solving skills
Proficiency in software, technology and tools, including Microsoft Word, Excel, Outlook and PowerPoint, and familiarity with, or comfort with learning, other software applications utilized by the team (e.g. SEC filing tools, board meeting materials, equity management platforms, instant messaging (Slack) and other legal department management tools)
Ability to perform in a fast‑paced environment and handle multiple assignments and prioritize
Knowledge of equity plans and/or equity management platforms is preferred
Notary Public qualification is a plus
