Position Overview Ultimate Staffing is actively seeking an experienced Corporate Paralegal to join a dynamic legal team in the Raleigh, North Carolina area. This role is designed for a detail-oriented and highly organized individual who thrives in a fast-paced, deadline-driven team environment. The Corporate Paralegal will work closely with attorneys and clients on high-profile securities transactions, offering a unique opportunity to gain hands-on experience and training. This position offers a hybrid work arrangement.

Responsibilities

Support attorneys and clients in securities financings, public company M&A, and other corporate transactions for public companies.

Prepare SEC filings, including Forms 8-K, S-8, 10-K, and 10-Q, as well as proxy statements and Forms S-1 and S-3.

Draft Section 13 and 16 filings and manage compliance.

Assist with entity formations, governance, state filings, and due diligence.

Draft corporate and securities documents, stock certificates, and audit letters.

Address Rule 144 matters, liaising with transfer agents and drafting related opinions.

Draft and file Form Ds, and assist with EDGAR Next matters.

Manage multiple projects and deadlines in a fast-paced environment.

Qualifications

Bachelor's degree; ABA-approved Paralegal Certificate preferred.

3+ years of securities paralegal law firm experience or related legal/business experience.

Strong knowledge of SEC regulations, corporate governance, and compliance.

Excellent drafting, proofreading, communication, and organizational skills.

Proficiency with Workiva, Active Disclosure, EDGAR platform, Microsoft Office.

Required Work Hours Monday through Friday, 1st shift.

Benefits This role offers a comprehensive benefits package, including health insurance, retirement plans, and paid time off.

Additional Details Salary range is between $75,000 and $85,000 per year.
