Under the direction of the Technology, Innovation, & Practice Solutions (TIPS) Practice Group leader and Manager of Practice Support Professionals & Services, the Tax Paralegal is a highly skilled, objective‑oriented individual who utilizes a combination of practical experience and cutting‑edge technology in a collaborative environment to provide firm clients and attorneys with creative and cost‑efficient solutions. This is a full‑time, non‑exempt position resident in our San Francisco or Palo Alto offices, with excellent benefits.
Essential Duties and Responsibilities
Draft corporate documents including preparation of Entity Formation Documents, Bylaws, Operating Agreements, Stock Certificates, IRS EIN applications, and Foreign Qualifications. Prepare for filing and file corporate documents in all states. Assist in all phases of transactional work, including due diligence, closings (closing checklists, execution versions of closing documents) and post‑closing matters (signature packets, closing binders). Draft and file UCC financing statements. Perform lien searches (Federal, State, County and International) and advise on search parameters, timelines, and jurisdictional limitations. Perform corporate entity research. Coordinate with corporate vendors to order good standing certificates, copies of formation documents, and UCC searches. Research Blue Sky requirements; perform EDGAR filings for Form D and State EFD Blue Sky filings. Maintain Company files and capitalization tables. Assist in title and survey review for commercial real estate matters as well as other global transactions. Coordinate responses to audit request letters. Complete other tasks deemed necessary by members of the Corporate Department. Core Competencies

Ability to organize and prioritize numerous tasks to perform essential duties of the position under time constraints and with frequent interruptions. Ability to work well with internal and external clients and build relationships with individuals at all levels of an organization. Strong organizational skills, problem solving skills and attention to detail. Strong work ethic, high degree of integrity and ability to maintain strict confidentiality. Bachelor's degree required; and at least 7 years in a law firm environment, or related professional experience. Comprehensive knowledge of corporate, finance and real estate practices. Significant experience with transactional support for entity formation, mergers, acquisitions, and dispositions. Knowledge of the principles and procedures of legal research. Knowledge of legal contract and agreement procedures and documentation. Ability to use Word, Excel, EDGAR, electronic data rooms, and electronic filing tools. Extent of Contact (Within and outside the Firm)

Must be able to lift boxes of files weighing approximately 15 pounds. Must be able to routinely lift and carry file folders weighing up to 5-10 pounds. Must be able to spend long periods of time working at computer workstation. Must be able to lift, squat, kneel and bend. Work Condition and Environment
Work is normally performed in a typical interior/office work environment. Position is full‑time and requires a five‑day work week and standard hours as outlined in the firm policy manual. Work frequently requires more than the regularly scheduled hours per week to perform the essential duties of the position. Must be available to work overtime, including weekend hours, when necessary to meet established deadlines or stay current with occasional peaks in workload. Must be willing to change regular work schedule to meet the needs of the Firm. Position may require occasional travel. This role may be hybrid and will require a minimum of three days per week (or at least 60%) present in the office, and up to two days per week (40%) may be performed remotely. Benefits
