Position Summary The Senior Paralegal, Contracts & Corporate will be a key member of BBOT’s lean Legal team, reporting to the VP, Head of Legal. This role will have primary responsibility for managing the company’s contracts function and will provide hands‑on support for corporate governance and public company matters.
The ideal candidate is an experienced, highly organized paralegal who thrives in a fast‑paced, science‑driven environment and is comfortable working independently with significant ownership and responsibility. Experience in biotechnology or life sciences and exposure to public company legal requirements are strongly preferred.
Key Responsibilities Contracts Management
Serve as the primary owner of the end‑to‑end contracts process, including intake, tracking, execution, amendments, renewals, and terminations
Administer and maintain the company’s contract lifecycle management system and contract repositories
Coordinate contract execution with internal stakeholders and external counterparties
Track contractual obligations, renewal dates, and deadlines, proactively managing follow‑ups and risk visibility
Support audits, diligence requests, and internal reporting related to contracts
Continuously improve contract templates, workflows, and processes to support a scaling organization
Corporate & Public Company Support
Support corporate governance activities, including preparation and organization of board and committee materials, resolutions, consents, and minutes
Assist with the preparation and coordination of public company securities filings (e.g., Forms 10-K, 10-Q, 8-K, proxy statements), including document management and backup materials
Maintain corporate records, entity documentation, and compliance calendars
Partner cross‑functionally with Finance, Business Development, and Operations on legal support needs
General Legal Support
Serve as a trusted operational partner to the VP, Head of Legal in a small legal team environment
Interface directly with outside counsel and legal vendors
Support special legal projects as needed, including financings, transactions, and strategic initiatives
Requirements
Paralegal certificate or equivalent practical experience required
5+ years of paralegal experience, with substantial responsibility for contracts management
Demonstrated ability to independently manage a high volume of commercial contracts
Strong organizational skills and attention to detail, with the ability to manage competing priorities
Self‑motivated and comfortable working with minimal supervision in a lean team environment
Excellent written and verbal communication skills
Proven judgment and discretion in handling confidential and sensitive information
Preferred Qualifications
Experience in biotechnology, pharmaceutical, or life sciences companies
Experience supporting a public company, including exposure to SEC or securities filings
Familiarity with contract lifecycle management (CLM) systems
Experience providing administrative or operational support for intellectual property or patent matters
Salary Description $67 - $80/hour
