salary: $75,000 - $85,000 per year shift: First work hours: 8 AM - 5 PM education: High School

Responsibilities 1. Corporate Governance & Secretarial Support

Board Coordination:

Prepare board materials and agendas; record and transcribe official minutes.

Secretary of State Filings:

Prepare and file formation documents, amendments, and dissolutions.

Corporate Records:

Organize physical and digital minute books to ensure complete historical records.

Equity Administration:

Manage the issuance, tracking, and cancellation of stock certificates.

Compliance:

File annual reports, maintain statutory registers, and ensure adherence to corporate laws.

2. Specialized Taxing District Support

District Formation:

Assist with legal filings to create districts, including obtaining Federal Tax Numbers (EINs).

Public Records:

Maintain meticulous records per public disclosure requirements.

Meeting Support:

Prepare and post legal notices, agendas, and resolutions for board meetings.

Monitoring:

Track and file state/local mandated reports to keep districts in good standing.

3. Document Management & Drafting

Contract Admin:

Draft and review vendor, employment, and various legal agreements.

Legal Instruments:

Prepare bylaws, resolutions, and other foundational documents.

Filing & Oversight:

Maintain a centralized filing system for all legal and district documentation.
