A leading law firm is seeking an experienced
Senior Corporate Paralegal
to provide high-level support on corporate maintenance and complex transactions for both private and public company clients. This role is ideal for a detail-oriented professional with transactional experience and the ability to work independently with minimal supervision.
Responsibilities
Assist in the
formation, maintenance, and dissolution of corporate entities
and prepare related organizational documents.
Coordinate closings and prepare
related transaction documents .
Draft and file
corporate and securities filings , assemble legal opinions, and maintain opinion back-up.
Organize corporate records, conduct
due diligence reviews , and maintain capitalization tables and stock certificates.
Research Blue Sky issues and prepare required filings.
Provide training and guidance to case assistants and junior paralegals.
Perform additional tasks as assigned to support attorneys and the corporate team.
Qualifications
Bachelor’s degree
required.
5+ years of transactional experience
in Private Equity, Capital Markets, or M&A preferred.
Strong attention to detail, excellent communication skills, and the ability to manage multiple priorities.
Professional maturity and discretion handling confidential client matters.
Proficiency in
Microsoft Office
(advanced Excel preferred).
Familiarity with
Carta, Shareworks, or similar equity tracking systems
is a plus.
Willingness to work overtime as needed.
