Global Senior Legal Counsel

The role Following 3stepIT’s global expansion - particularly into North America and data center lifecycle services - we are seeking a senior global legal leader with deep expertise in equipment leasing, technology financing, IT lifecycle management, and complex commercial contracting to support Lifecycle Management for Data Center.
This role serves as the central legal governance authority for 3stepIT globally. The successful candidate will design and manage scalable legal frameworks, harmonize contract templates across regions, support complex commercial and financing transactions, and enable compliant growth into new markets.
Operating at both strategic and execution levels, this role partners closely with the other Business Lines within 3stepIT (especially Lifecycle Services) and Corporate General Counsel. Close cooperation is also required with other functional teams including amongst others Finance, Credit, Commercial Operations and Asset Management.
Reporting to: Global President, Data Center Lifecycle Management
Main responsibilities & tasks Global Contract Governance & Framework Development:
Design, maintain, and govern global legal templates including:
Funder Framework Agreements
Master Lease Agreements (FMV, FPO, hybrid structures)
Schedules, service agreements, MSAs, SLAs, NDAs
ITAD, DaaS, SaaS, managed services, and asset recovery terms
Harmonize contract language across jurisdictions to ensure consistency, compliance, and scalability
Own and maintain the global legal template library for LCM and LCS and documentation repository
Establish global redline standards, fallback positions, escalation pathways, and clause guardrails
Commercial Support & Deal Execution:
Lead or support legal negotiations for:
Funders, investors, and financing partners
OEMs, distributors, GSIs, and enterprise customers
Advise on complex deal structures where legal, credit, residual value, and commercial outcomes intersect.
Support enterprise customer negotiations and global program rollouts.
Manage escalations impacting asset ownership, end-of-term outcomes, guarantees, or risk allocation.
Financing, Leasing & Regulatory Expertise:
Structure and review funding and financing agreements aligned with business and risk objectives making sure there is consistency between the Business Lines.
Ensure compliance with global leasing and financing regulations (e.g., UCC concepts, IFRS variants, cross-border considerations).
Advise on residual value protection, asset recovery, collections, and litigation support where required.
Monitor regulatory developments impacting leasing, technology finance, and asset disposition.
Risk, Compliance & ESG Governance:
Ensure compliance with:
Global data protection and privacy laws (GDPR, CCPA, etc.)
Environmental regulations and secure data destruction standards
IT asset disposition (ITAD) and chain-of-custody requirements
Embed ESG, sustainability, and circular economy principles into legal frameworks and contracts.
Identify legal risks proactively and develop mitigation strategies aligned with business objectives.
Global Expansion & Enablement
Enable entry into new countries and regions through legal framework readiness.
Develop legal playbooks, sales enablement materials, and operational guidance.
Standardize global policy adoption and legal processes.
Reduce contract friction and cycle times through repeatable, scalable legal processes.
Qualifications and experience :
Juris Doctor (JD), LLM, or equivalent legal qualification.
10+ years of legal experience in:
Equipment leasing and structured finance
Technology, IT services, and managed services
Global or multinational contracting environments
Proven experience negotiating with funders, financial institutions, and strategic partners.
Strong understanding of:
IT lifecycle management, ITAD, and data center environments
SaaS, DaaS, IP, and data privacy frameworks
Cross-border regulatory and compliance requirements
Experience with legal tech tools and contract automation platforms preferred.
Ability to work across cultures, time zones, and evolving organizational structures.

Executive-level communicator with confidence influencing senior stakeholders.
