ROLE OVERVIEW The Director of Legal (Advisory) is the principal internal legal architect for SpencerPruitt. This role is intentionally advisory in nature and operates at the direction of the Managing Partner. The Director of Legal has no independent signing authority and does not function as General Counsel.
This position exists to support velocity-driven transactions — syndications, acquisitions, and strategic investments — by designing practical, business-minded legal structures that allow deals to move efficiently from concept to execution. The role emphasizes judgment, entrepreneurial thinking, and execution over academic lawyering.
The ideal candidate is a lawyer with an operator’s mindset: someone who understands that most deals do not close, documents must be robust but not bloated, and legal work must facilitate momentum rather than slow it.
CORE RESPONSIBILITIES Syndication & Investment Structuring, Research (Primary Focus | ~60–70%)
Independently draft syndication documents internally, including operating agreements, subscription documents, investor disclosures, and related materials
Structure syndications across real estate and operating businesses
Apply practical securities and investor-compliance judgment, escalating to outside counsel only where appropriate
Design documentation that is defensible, clear, and efficient — not over-engineered
Mergers, Acquisitions & Strategic Transactions
Run the legal workstream for acquisitions and investments
Support transactions with a velocity-first mindset, balancing risk awareness with commercial practicality
Lead legal diligence, issue spotting, and document drafting/negotiation
Recognize that many deals will not close and structure work accordingly
Corporate Governance & Entity Management
Oversee governance across all SpencerPruitt entities and affiliated structures
Maintain operating agreements, resolutions, corporate records, and entity hygiene
Advise leadership on governance decisions as the platform grows
Contracts, Commercial Legal & Risk Management
Review, draft, and negotiate all inbound and outbound contracts
Manage vendor agreements, consulting agreements, NDAs, partnership agreements, and services contracts
Establish standardized templates and approval workflows
Identify and flag risk without creating unnecessary friction
Legal Operations, Compliance & Special Matters
Manage all legal matters entering the organization, including subpoenas, notices, and regulatory inquiries
Coordinate responses with outside counsel as needed
Determine when matters should be handled internally versus outsourced
Ensure legal processes scale efficiently
External Counsel Management
Act as the primary liaison with outside counsel
Delegate work intelligently based on materiality and complexity
Manage legal spend and ensure counsel supports SpencerPruitt’s deal pace
Team Structure
Directly manage one paralegal, Co-Manage 1 General Administrative Assistant
Utilize a shared administrative assistant for scheduling and coordination
Engage temporary legal support during deal surges as needed
IDEAL CANDIDATE PROFILE
JD and active bar membership in good standing
Meaningful experience drafting syndication documents internally
Experience supporting M&A and investment transactions
Entrepreneurial mindset — comfortable with ambiguity, iteration, and deal velocity
Practical judgment over academic perfection
Comfortable operating without formal authority while owning outcomes
Enjoys building, not just reviewing
This role is not suited for candidates who require rigid process, excessive documentation, or constant escalation.
